COOPERATIVE AGREEMENT FOR <br /> WALTER ROAD IMPROVEMENT <br /> This Agreement is entered into on this day of December, 2015,by and between <br /> the City of Westlake("Westlake") and the City of North Olmsted("North Olmsted"). <br /> Whereas, the parties have jointly determined it is necessary to provide for the <br /> improvement of Walter Road from Beech Lane to the North Olmsted corporation line,north <br /> of Lebern Drive;and <br /> Whereas, the westerly portion of Walter Road lies in Westlake and the easterly <br /> portion of Walter Road lies in North Olmsted;and <br /> Whereas, the improvement of the road is necessary to safely accommodate the <br /> traffic and will benefit both communities. <br /> Now therefore,the parties hereby agree as follows: <br /> 1.) project Description: Resurfacing of Walter Road from Beech Lane to the North <br /> Olmsted corporation line, north of Lebern Drive which is substantially <br /> described in the attached Exhibit"A", and which shall be incorporated herein <br /> as if fully re-written. <br /> 2.) Budget and Funding: The total cost of the improvement is estimated to be <br /> a.) North Olmsted will reimburse Westlake as follows: <br /> (1) 50%of all construction costs; <br /> (ii) 50% of any contract claim arising out of the improvement <br /> project, including all costs incurred in the legal defense of any <br /> suit(s)for damages; <br /> (iii) Payments shall be made to Westlake by North Olmsted within <br /> thirty(30) days receipt of invoice by Westlake. <br /> b.) Westlake will pay 100% of all engineering and project management <br /> costs related to the improvement project. <br /> c.) Westlake shall keep accurate records of its costs and such records <br /> shall be made available at all regular business hours for inspection <br /> by North Olmsted. The costs shown in the records shall be used as <br /> the basis for the final division of costs as provided herein. <br /> 3.) Rights and Responsibilities: The parties shall work together to determine the <br /> key creative elements as to the project. No party may unreasonably withhold <br /> its approval of any key creative element. <br /> Page 1of2 <br />
