RIGHT OF ENTRY AND PERMANENT EASEMENT FOR THE MAINTENANCE OF TRAFFIC CONTROL EQUIPMENT The North Olmsted Board of Education (hereinafter "Grantor"), a political subdivision of the State of Ohio, whose main office is located at 26669 Butternut Ridge Road, City of North Olmsted, Ohio 44070, for and in consideration of the mutual promises and covenants herein, and for other good and valuable consideration received and to be received to its full satisfaction, does hereby give, grant, convey and release to the City of North Olmsted, a political subdivision of the State of Ohio (hereinafter "Grantee"), or its duly authorized employees, agents or contractors, without reservation of any kind, permission to enter upon Grantor's land, identified as part of Cuyahoga County Auditor Parcel No. 234-15-088 (hereinafter "Premises"), as said Premises are fully described in the attached legal description, for the following purposes: "A copy of the legal description is attached hereto as Exhibit "A " and made apart hereofas iffully written herein. 1. Perpetual right to enter upon and to occupy and use said Premises for the installation, construction and maintenance of traffic control equipment and signalization, together with installation and maintenance of all attendant and related utilities and facilities; 2. The further perpetual right to enter upon and to occupy and use the Premises to operate therein traffic control equipment and, if necessary, to repair or replace the equipment or facilities as may be necessary or advisable in order to operate or maintain said traffic control equipment in accordance with the ordinances, rules and regulations of the Grantee which are now in effect or may be adopted hereafter, and as further specified below Grantee shall, at its own expense, install such traffic control equipment and signalization in connection with the driveway entrance/exit of existing and established educational institution, to wit, Chestnut Intermediate Elementary School, located at 30395 Lorain Road, North Olmsted, OH 44070 Further, in the event that Grantee exercises this right -of -entry for inspection and
