CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2017 - 15 <br />BY: Mayor Kennedy <br />A RESOLUTION DISPENSING WITH THE RFP PROCESS AND <br />AUTHORIZING THE MAYOR TO ENTER INTO A CONTRACT WITH <br />THE SINDYLA CONSULTING GROUP LLC FOR THE PURPOSE OF <br />PROVIDING LEGAL AND CONSULTING SERVICES RELATED TO <br />THE TELECOMMUNICATION INDUSTRY, INCLUDING <br />NEGOTIATION OF AGREEMENTS FOR THE LOCATION OF CELL <br />TOWERS ON CITY OWNED PROPERTIES. <br />WHEREAS, the Mayor and Director of Law believe that additional consulting and <br />legal assistance is necessary to advise and negotiate for the acquisition of real estate <br />transactions between the City and prospective cellular communication providers, specifically <br />for the construction of cell towers on City owned property; and <br />WHEREAS, the Sindyla Consulting Group LLC has proposed to consult on <br />telecommunication opportunities and to negotiate with prospective said providers; and <br />WHEREAS, the proposed scope of service costs do not exceed ten thousand dollars <br />($10,000.00); and <br />WHEREAS, given the complexity of and competition within the telecommunication <br />industry, developing trends in site location applications within the right of way, the significant <br />revenue opportunity for the City, the Mayor believes that it is in the best interests of the City <br />of North Olmsted to utilize the services of the Sindyla Consulting Group LLC given its <br />breadth of construction knowledge on projects of this scope and type; and <br />WHEREAS, it is accordingly the desire of this Council, acting upon the <br />recommendation of the Mayor, to dispense with the RFP/RFQ process and authorize the <br />Mayor to enter into contracts with the Sindyla Consulting Group LLC. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be and he hereby is authorized to enter into contracts <br />with the Sindyla Consulting Group LLC, to provide legal and consulting services to the City <br />relative to the telecommunication industry, including the negotiation of lease agreements for <br />cellular towers on City owned property. Said contract shall be in substantially the same form <br />and substance as the contracts attached hereto as Exhibit A, with only such changes thereto as <br />are not substantially adverse to the City and which are approved by the Director of Law. The <br />character of any such changes as not being substantially adverse to the City shall be evidenced <br />
