2. Provide information to make a recommendation(s) to the Mayor and City Council regarding the <br />marketing possibilities for all city property locations for new towers. <br />3. Meet with Mayor and Staff as needed to gather information and provide updates as needed. <br />4. Prepare and propose recommendations for a contract award to the Mayor for approval by the <br />City Council. <br />7. Other appropriate duties as necessary and specified. <br />ARTICLE THREE <br />It is intended that the Consultant's relationship to the City be that of an independent contractor. <br />The Consultant: <br />1. Shall set his own schedule; <br />2. Shall control the means, manner and direction of completing the activities contemplated by this <br />agreement. <br />3. Is free to engage in other activities and perform similar services for other businesses. <br />4. Is a separate and distinct business entity for which the services set forth above are being performed <br />and is not an employee of the City and is not entitled to participate in the Ohio Public Employees <br />Retirement System. <br />5. In performing the services specified under the terms of this Agreement, the Consultant shall not be <br />precluded from selecting his own personnel to perform the activities required in the scope of services <br />set forth above. <br />ARTICLE FOUR <br />The City agrees to pay the Consultant a sum not to exceed Ten Thousand Dollars ($10,000) <br />for services rendered pursuant to the terms of this Agreement at a rate of Two Hundred Fifty Dollars <br />($250.00) per hour. An initial retainer of $Two Thousand Five Hundred Dollars ($2,500.00) shall be paid <br />to the Consultant. The Consultant shall incur all primary business expenses and is solely responsible for <br />all continuing or business liabilities for the services performed. <br />ARTICLE FIVE <br />The Consultant agrees to inform the City of all the Consultant's interests, if any, which may be, or which <br />the Consultant has reason to believe may be, incompatible with the interests of the City. In addition to <br />the foregoing, the Consultant agrees not to make improper use of any information that comes to himself <br />or his agents or representatives in the performance of services under this Agreement. <br />
