ARTICLE NINE The Consultant understands that §9.24 of the Ohio Revised Code prohibits the award of a contract to any entity against whom the Auditor of State has issued a finding for recovery, if the finding for recovery is "unresolved" at the time of entering into an Agreement and warrants that it is now, and will not become subject to an "unresolved" finding for recovery under the Ohio Revised Code Section 9.24, without notifying the City of Health of such finding. A Finding for Recovery will result in immediate termination of this Agreement. ARTICLE TEN In any provision of this Agreement or any application thereof shall be invalid or unenforceable, the remainder of the Agreement and, any other application of such provision shall not be affected thereby. Any actions, suits, or claims that may arise pursuant to this Agreement shall be brought in a court of competent jurisdiction in the State of Ohio. ARTICLE TWELVE This Agreement represents the entire integrated Contract between the City and the Consultant and it supersedes all prior negotiations, representations, or agreements, either written or oral. By mutual consent, this contract may be modified whenever such modifications are deemed necessary. Any such modifications shall be reduced to writing and signed by all parties.
