EXHIBIT <br />LICENSE AGREEMENT <br />THIS LICENSE AGREEMENT (the "Agreement") is made and executed at North <br />Olmsted, Ohio, by and between the City of North Olmsted, an Ohio municipal corporation <br />(hereinafter. "Licensor"), whose main office is located at 5200 Dover Center Road, City of Nortll <br />Olmsted, Ohio 44070, and 4879 Columbia Road Associates, Limited .Property Owner <br />(hereinafter, "Licensee"), whose main office is located at 4645 Richmond Road, 4101, <br />Warrensville Heights, Ohio 44128, as follows: <br />RECITALS <br />A. For the pua-pose of, among other things, safety of the motoring public and the <br />maintenance of public utilities and streets, Licensor has exclusive authority to regulate the use of <br />property that falls within the public right of way, inclusive of property between the sidewalk and <br />the paved portion of the roadway located at 4879 Columbia Road, City of North Olmsted, Ohio <br />("Licensor's Right of Way"). <br />B. Licensee is the owners of a certain parcel of land located at 4879 Columbia Road, <br />City of North Olmsted, Ohio "(Licensee's Property"). <br />C. Licensee seeks to construct an identification sign for its property within <br />Licensor's Right of Way and upon Licensee's Property. <br />NOW, THEREIiORE, for good and valuable consideration, the receipt and <br />sufficiency of which are mutually acknowledged, the parties hereby agree as follows: <br />1. Licensor grants to Licensee a license to use Licensor's Right of Way for <br />construction of an identification sign, as identified on the Attached Exhibit A. <br />2. Notwithstanding the license granted herein, Licensor's Right of Way shall <br />continue to be regulated and restricted as to usage and construction of improvements therein by <br />Licensor and Licensor may use, maintain, make repairs to and replace improvements within <br />Licensor's Right of Way, in whole or in pail at any time, without unreasonable disruption of <br />Licensees' permitted uses. <br />3. Licensee agrees that it shall use Licensor's Right of Way and exercise its <br />rights hereunder at its sole risk, cost and expense. Licensee agrees for itself and its agents, <br />employees, successors and assigns, to use Licensor's Right of Way in common with Licensor <br />and its employees and agents and further agrees that it shall not obstruct sight lines or interfere <br />with the flow of traffic by exercising the rights hereunder. Licensee and its agents, successors <br />and assigns shall not cause or permit unreasonable wear, tear, damage or loss to or within <br />Licensor's Right of Way. Licensee agrees to promptly repair, at its sole cost, all wear, tear, <br />damage or loss. <br />4. Licensee agrees to keep the improvement identification sign constructed in <br />Licensor's Right of Way in good and sightly condition at all times. <br />
