7. Information for Annual Review <br />The Company shall, in a timely manner, provide to the City any information reasonably required <br />by the City to evaluate the Company's performance under and compliance with this Agreement. <br />Certification of Payment of Taxes <br />The Company certifies that at the time of execution of this Agreement, the Company does not <br />owe any delinquent real or tangible personal property taxes to any taxing authority of the State of <br />Ohio and does not owe delinquent taxes for which the Company is liable under Chapters 5733, <br />5735, 5739, 5741, 5747, 5753 of the Ohio Revised Code, or, if such delinquent taxes are owed, <br />the Company is currently paying the delinquent taxes pursuant to an undertaking enforceable by <br />the State of Ohio or an agent or instrumentality thereof, has filed a petition in bankruptcy under <br />11 U.S.C.A. § 101, et seq., or such petition has been filed against the Company. For the purposes <br />of the certification, delinquent taxes are taxes that remain unpaid after the last day prescribed for <br />payment without penalty under the applicable chapter of the Revised Code. <br />9. Non -Discrimination <br />By executing this Agreement, the Company agrees to comply with all applicable city, state and <br />federal anti -discrimination laws regarding employment at the Site. <br />10. Compliance with Laws and Ordinances of North Olmsted <br />By executing this Agreement, the Company agrees that it will comply with laws and ordinances <br />of the City. <br />11. Transfer and Assignment <br />This Agreement and rights and obligations under the Agreement are not transferable or <br />assignable without the express written approval of the City. The City shall not unreasonably <br />withhold consent so long as the proposed transfer or assignment is to a proposed transferee or <br />assignee that adequately and sufficiently demonstrates to the City that the transferee or assignee <br />has the financial ability and business experience to continue the Company's operations at the <br />Site. <br />12. Termination or Modification of Incentives <br />A. If the Company fails to meet the MAP in any given year, the grant shall not be <br />awarded for that year. <br />B. If the Company fails to meet the MAP for three consecutive years, this Agreement <br />shall be terminated by the City. <br />3 <br />
