7. Information for Annual Review The Company shall, in a timely manner, provide to the City any information reasonably required by the City to evaluate the Company's performance under and compliance with this Agreement. Certification of Payment of Taxes The Company certifies that at the time of execution of this Agreement, the Company does not owe any delinquent real or tangible personal property taxes to any taxing authority of the State of Ohio and does not owe delinquent taxes for which the Company is liable under Chapters 5733, 5735, 5739, 5741, 5747, 5753 of the Ohio Revised Code, or, if such delinquent taxes are owed, the Company is currently paying the delinquent taxes pursuant to an undertaking enforceable by the State of Ohio or an agent or instrumentality thereof, has filed a petition in bankruptcy under 11 U.S.C.A. § 101, et seq., or such petition has been filed against the Company. For the purposes of the certification, delinquent taxes are taxes that remain unpaid after the last day prescribed for payment without penalty under the applicable chapter of the Revised Code. 9. Non -Discrimination By executing this Agreement, the Company agrees to comply with all applicable city, state and federal anti -discrimination laws regarding employment at the Site. 10. Compliance with Laws and Ordinances of North Olmsted By executing this Agreement, the Company agrees that it will comply with laws and ordinances of the City. 11. Transfer and Assignment This Agreement and rights and obligations under the Agreement are not transferable or assignable without the express written approval of the City. The City shall not unreasonably withhold consent so long as the proposed transfer or assignment is to a proposed transferee or assignee that adequately and sufficiently demonstrates to the City that the transferee or assignee has the financial ability and business experience to continue the Company's operations at the Site. 12. Termination or Modification of Incentives A. If the Company fails to meet the MAP in any given year, the grant shall not be awarded for that year. B. If the Company fails to meet the MAP for three consecutive years, this Agreement shall be terminated by the City. 3
