The Company shall pay an annual fee of $200.00 in each year that the Company receives a grant payment. A check shall be delivered to the City upon notification that payment is due. The annual fee may be used to defray the cost of program administration. 15. Entire Agreement: This Agreement (including any exhibits and / or schedules attached hereto) between City and Company ("parties") constitutes the entire agreement and understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, documents and proposals, oral or written, between the parties with respect thereto. 16. Governing Law and Jurisdiction: This Agreement and any claim, action, suit, proceeding or dispute arising out of this Agreement shall in all respects be governed by, and interpreted in accordance with, the substantive laws of the State of Ohio and Ordinances of the City of North Olmsted, Ohio, without regard to the conflicts of law provisions thereof. Venue and jurisdiction for any action, suit or proceeding arising out of this Agreement shall vest exclusively in the federal or state courts of general jurisdiction located in Cuyahoga County, Ohio. 17.
