EXHI IT RIGHT OF ENTRY AND PERMANENT EASEMENT FOR THE MAINTENANCE OF TRAFFIC CONTROL EQUIPMENT Zapata Real Estate, LLC. (hereinafter "Grantor"), an Ohio Corporation, whose main office is 4354 Valley Forge Drive, City of Fairview Park, Ohio 44126, for and in consideration of the mutual promises and covenants herein, and for other good and valuable consideration received and to be received to its full satisfaction, does hereby give, grant, convey and release to the City of North Olmsted, a political subdivision of the State of Ohio (hereinafter "Grantee"), or its duly authorized employees, agents or contractors, without reservation of any kind, permission to enter upon Grantor's land, identified as part of Cuyahoga County Fiscal Officer Parcel No. 231-26- 003 (hereinafter "Premises"), as said Premises are fully described in the attached legal description, for the following purposes: "A copy of the legal description is attached hereto as Exhibit "A1 " and made apart hereof as iffzdly rnritten herein. 1. Perpetual right to enter upon and to occupy and use said Premises for the installation, construction and maintenance of traffic control equipment and signalization, together with installation and maintenance of all attendant and related utilities and facilities; 2. The further perpetual right to enter upon and to occupy and use the Premises to operate therein traffic control equipment and, if necessary, to repair or replace the equipment or facilities as may be necessary or advisable in order to operate or maintain said traffic control equipment in accordance with the ordinances, rules and regulations of the Grantee which are now in effect or may be adopted hereafter, and as further specified below. Grantee shall, at its own expense, install such traffic control equipment and signalization in connection with the North Olmsted Signals Phase 1 Project at the northwest corner of the intersection of Clague and Lorain Roads.
