EXHI IT <br />RIGHT OF ENTRY AND PERMANENT EASEMENT FOR THE <br />MAINTENANCE OF TRAFFIC CONTROL EQUIPMENT <br />Zapata Real Estate, LLC. (hereinafter "Grantor"), an Ohio Corporation, whose main office <br />is 4354 Valley Forge Drive, City of Fairview Park, Ohio 44126, for and in consideration of the <br />mutual promises and covenants herein, and for other good and valuable consideration received <br />and to be received to its full satisfaction, does hereby give, grant, convey and release to the City <br />of North Olmsted, a political subdivision of the State of Ohio (hereinafter "Grantee"), or its duly <br />authorized employees, agents or contractors, without reservation of any kind, permission to enter <br />upon Grantor's land, identified as part of Cuyahoga County Fiscal Officer Parcel No. 231-26- <br />003 (hereinafter "Premises"), as said Premises are fully described in the attached legal <br />description, for the following purposes: <br />"A copy of the legal description is attached hereto as Exhibit "A1 " <br />and made apart hereof as iffzdly rnritten herein. <br />1. Perpetual right to enter upon and to occupy and use said Premises for the installation, <br />construction and maintenance of traffic control equipment and signalization, together <br />with installation and maintenance of all attendant and related utilities and facilities; <br />2. The further perpetual right to enter upon and to occupy and use the Premises to operate <br />therein traffic control equipment and, if necessary, to repair or replace the equipment or <br />facilities as may be necessary or advisable in order to operate or maintain said traffic <br />control equipment in accordance with the ordinances, rules and regulations of the <br />Grantee which are now in effect or may be adopted hereafter, and as further specified <br />below. <br />Grantee shall, at its own expense, install such traffic control equipment and signalization <br />in connection with the North Olmsted Signals Phase 1 Project at the northwest corner of the <br />intersection of Clague and Lorain Roads. Further, in the event that Grantee exercises this right - <br />of -entry for inspection and maintenance of said equipment, Grantee shall be solely responsible <br />
