MAS Financial Advisory Services LLC City of North Olmsted <br />MUNICIPAL ADVISORY AGREEMENT FEE SCHEDULE <br />In consideration for the services rendered by MAS Financial Advisory Services LLC, the City <br />of North Olmsted agrees to pay MAS Financial Advisory Services LLC fees as outlined by this <br />Municipal Advisory Agreement Fee Schedule. <br />Fee Schedule <br />Retainer: The City agrees to pay MAS Financial Advisory Services LLC a retainer fee <br />of $12,000 per contract year in recognition of performing services outlined in Section <br />2 (Scope of Advisory Services) - Items a, b, c, d, n, p, r, t, u, and v. Up to 50%, or <br />$6,000, of any debt issuance fees incurred on an annual basis (as outlined below) will <br />be applied as a credit toward the annual retainer fee. <br />There is no reimbursement for out-of-pocket expenses. <br />Debt Issuance: Upon delivery of Bond Anticipation Notes (BANS) or Bonds, the City <br />will pay MAS Financial Advisory Services a fee of $1.75 per 1,000 of proceeds for <br />BANs and $3.50 per 1,000 of total bond proceeds (par and premium). A minimum <br />fee of $15,000 is requested per bond issue. <br />Fee Sharing — In limited situations, MAS Financial Advisory Services LLC may, with the written <br />consent of its client, collaborate with other registered municipal advisors if, in the opinion of <br />MAS Financial Advisory Services LLC, such firms can provide specialized services required for <br />the engagement that are beyond MAS Financial Advisory Services LLC capabilities or resources. <br />In such situations, the collaborating advisor will provide services under fee share arrangement <br />as reflected in this agreement and agreeable to the City. <br />N <br />
