i <br />between the Issuer and Great Northern Shopping Center, act- <br />ing as agent for an Ohio limited partnership to be formed, <br />which Agreement is attached to Ordinance No. 82-47 as <br />Exhibit 1 and was in all respects approved, and (c) author- <br />ize and direct the Mayor to conditionally execute the Agree- <br />ment in the form attached to Ordinance No. 82-47 pursuant to <br />certain conditions as expressed in such Ordinance; <br />WHEREAS, the Ohio limited partnership for which Great <br />Northern Shopping Center was acting as agent has been formed <br />and is known as Great Northern Associates I, Ltd. (the <br />"Company"); <br />WHEREAS, the Project as described to the CIC and to <br />this Council has not changed but the costs of the portion of <br />the Project to be financed with industrial development <br />revenue bonds has increased and the Company has therefore <br />requested the Issuer to amend the Agreement to increase the <br />aggregate principal amount of revenue bonds to be issued; <br />and <br />WHEREAS, the Issuer, by virtue of the laws of the State <br />of Ohio and the Act desires to amend the Agreement to in- <br />crease the aggregate principal amount of revenue bonds to be <br />issued to assist in the financing of the Project. <br />NOW, THEREFORE, BE IT ORDAINED by the City Council of <br />the City of North Olmsted, Ohio: <br />Section 1. The Amendment to Agreement to Issue Bonds <br />in the form attached hereto as Exhibit A(the "Amendment") <br />is hereby in all respects approved. The Mayor is hereby <br />authorized and directed to execute and deliver the Amendment <br />substantially in such form with such changes as are not <br />adverse to the Issuer as the Mayor may approve, such execu- <br />tion and delivery being conclusive evidence of approval of <br />any such changes. <br />Section 2. It is found and determined that all formal <br />actions of this Council concerning and relating to the <br />adoption of this Ordinance were adopted in an open meeting <br />of this Council and that all deliberations of this Council <br />and of any of its committees that resulted in such formal <br />action were, in meetings open to the public, in compliance <br />with all legal requirements including Section 121.11 of the <br />Ohio Revised Code. <br />2
