CITY OF NORTH OLMSTED ORDINANCE N0. 82-46 PAGE TWO. SECTION 2. That for such legal services, reasonable fees shall be paid said firm and in addition to such fees, said firm shall be re- imbursed for actual out-of-pocket expenses (including, but not limited to, long-distance telephone, travel, duplicating expenses and the like) incurred in rendering such services. Such fees and expenses shall be paid solely from the proceeds of the sale of the Bonds, by the original purchaser of the Bonds as part of the purchase price therefor, or by the Company and if the Bonds are for any reason not delivered, shall be paid by the Company pursuant to the agreement by the Company to indem- nify the Issuer against any and all loss, cost, expense, claims or actions arising out of or connected with the issuance or sale of the Bonds. SECTION 3. It is found and determined that all formal actions of this Council concerning and relating to the adoption of this Ordinance were adopted in an open meeting of this Council, and that all deliber- ations of this Council and of any of its committees that resulted in such formal action, were in meetings open to the nublic, in compliance with all legal reauirements, including Section 121.22, Revised Code. SECTION 4. This Ordinance is hereby determined to be an emer- gency measure immediately necessary for the preservation of the public peace, health, safety and welfare and for the further reason that the immediate construction of the Project is urgently required to reduce the burdens on the City resulting from the lack of job opportunities, and further provided it receives the affirmative vote of two-thirds of all members elected to Council, it shall take effect and be in force immediately upon its passage and approval by the Mayor.
