CITY OF NORTH OLMSTED <br />ORDINANCE N0. 82-46 <br />PAGE TWO. <br />SECTION 2. That for such legal services, reasonable fees shall <br />be paid said firm and in addition to such fees, said firm shall be re- <br />imbursed for actual out-of-pocket expenses (including, but not limited <br />to, long-distance telephone, travel, duplicating expenses and the like) <br />incurred in rendering such services. Such fees and expenses shall be <br />paid solely from the proceeds of the sale of the Bonds, by the original <br />purchaser of the Bonds as part of the purchase price therefor, or by <br />the Company and if the Bonds are for any reason not delivered, shall be <br />paid by the Company pursuant to the agreement by the Company to indem- <br />nify the Issuer against any and all loss, cost, expense, claims or <br />actions arising out of or connected with the issuance or sale of the <br />Bonds. <br />SECTION 3. It is found and determined that all formal actions of <br />this Council concerning and relating to the adoption of this Ordinance <br />were adopted in an open meeting of this Council, and that all deliber- <br />ations of this Council and of any of its committees that resulted in <br />such formal action, were in meetings open to the nublic, in compliance <br />with all legal reauirements, including Section 121.22, Revised Code. <br />SECTION 4. This Ordinance is hereby determined to be an emer- <br />gency measure immediately necessary for the preservation of the public <br />peace, health, safety and welfare and for the further reason that the <br />immediate construction of the Project is urgently required to reduce the <br />burdens on the City resulting from the lack of job opportunities, and <br />further provided it receives the affirmative vote of two-thirds of all <br />members elected to Council, it shall take effect and be in force <br />immediately upon its passage and approval by the Mayor. <br />PASSED : <br />ATTEST: <br />?. ? <br />ORFNCE E.
