.?- E xh ib i t 3 ? -? ; :Page 3 0f 3 -3- (b) A lease between a partnership to be formed and First National Supermarkets, Inc. for a period of thirty (30) years from the date of the bond issue has been executed and submitted to the Community Improvement Corporation and the City for advance approval, prior to closing. 4. The purchaser of the bonds agrees to execute an "Invest- ment Letter", the letter to be prepared by Bond Counsel and submitted to the City for advance approval, prior to closing. 5. The application is subject to the "time limitations" as imposed by the rules of the Community Improvement Corporation. 6. The applicant agrees to the prevailing wage requirement as required by Section 4115.032, Ohio Revised Code, and shall require compliance by all contractors or sub-contractors working on the Project, with all applicable requirements of Section 4115.03 through 4115.16, Ohio Revised Code, includ- ing, without limitation, obtaining from the Ohio Department of Industrial Relations (a) its determination of the pre- vailing rates of wages to be paid for the class of work called for by the Project, and (b) to the extent applicable, the naming of a Prevailing Wage Coordinator for the Project, pursuant to Section 4115.032, Ohio Revised Code. Further, prior to the issuance of the Bonds, the applicant shall be required to provide the City of North Olmsted with evidence, satisfactory to the members of City Council that it has complied with the foregoing agreements. 7. The applicant agrees to defend, indemnify and hold the City and any and all official thereof harmless against any and all loss, cost, expense, claims or actions arising out of or connected with the industrial development bond proceed- ings and the issuance, sale, or delivery of the bonds.
