EXHIBIT 2 <br />Meeting of the North Olmsted Community Improvement Corporation <br />Minutes. March 30, 1982 <br />Present: Robert W. Swietyniowski, Mary H. Slama, Donald Newport, <br />James Prokasy, Edward Boyle, David Giracs <br />Absent: John Sedmack, Michael Gareau, Joseph Corrigan, Ronald <br />Wilamosky <br />Also Present: John E. Wade, Sr. Vice-Pres, Legal Affairs, First <br />?NNational Supermarkets; Thomas J, Onusko, Arter $ Hadden; <br />Gilbert B. Richland, Director Design & Construction, Bis- <br />kind Development Co.; Norman Gutmacher, Benesch-Friedlander; <br />Daniel Merkel, Chemical Mortgage Company; Daniel Biskind, <br />Biskind Development Co.; Peter Ross and Wayne Kuhn, <br />McDonald $ Company. <br />Meeting was called to order at 7:45 p.m, by President Swietyniowski, <br />Purpose of the meeting was to consider approval for issuance of <br />$1,940,000 in Industrial Development Revenue Bonds to Great Northern <br />Shopping Center, as agent for an Ohio limited partnership which <br />would receive title to the proposed site with Great Northern as <br />partner in the new partnership, with aggregate interest not to <br />exceed 50 percent. The new partnership would then borrow bond pro- <br />ceeds and construct the improvement which would, zn turn, be leased <br />to First National Supermarkets, Inc,, for sole operation of a retail <br />Pick-N-Pay Supermarket. <br />Presentation to the Community Improvement Corporation by Daniel <br />Biskind indicated Pick-N-Pay is presently a tenant at tfie Shopping <br />Center and has been since 1958 when the Shopping Center opened, <br />Expressed desire to construct a new supermarket modelled after the <br />Pick-N-Pay Food Palace in Westlaker a 40+Q00 sq, ft. facility nearly <br />double the size and employment of the present facility which is <br />26,375 sq. ft. Employment would be xetained for the nresent 41 <br />full time and 18 part time employees, with an immediate increase <br />to 63 fu11 time and 45 part time employees. <br />Presentation to the Community Improvement Corporation by Wayne <br />Kuhn of McDonald & Company indicated several conditions which would <br />be included in CIC's resolution to certify the projectr as well as <br />in th_e inducement ordinance which Arter & Hadden will prepare for <br />Council for its meeting of April 6. <br />Discussion b the Trustees ensued. Motion by Mary Slama that <br />the CIC approve tKe application of Fixst National Supermarkets and <br />Great Northern Shopping Center for $1,940,000 in Industrial Develop- <br />ment Revenue Bonds for construction of Pick-N-Pay nursuant to condi- <br />tions as set forth by Wayne Kuhn of McDonald, seconded by Edward <br />Boyle. Motion'nassed unanimously, <br />Meeting adjourned at 8;30 p.m.
