<br />EXHIBIT A- ORDINANCE N0. 8?2-96 <br />-BET4JEEN THE CITY OF NORTH OLMSTED AND THE GREAT NORTHERN <br />PARTNERSHIP TO PROVIDE STREET ILLUP1INATION ON COUNTRY CLUB <br />? BOULEVARD. <br />THIS AGREEMENT made at North Olmsted, Ohio; this day of , <br />1982, between the Great Northern Partnership (Great Northern of North Olmsted, <br />Ohio and the CITY OF NORTH OLMSTED, OHIO, a Municipal Corporation (herinafter <br />referred to as "City"). <br />WITNESSETH: <br />WHEREAS, Great Northern owns lands located in the City of North Olmsted <br />on the northerly and southerly sides of Country Club Boulevard from approximately <br />700 feet west of the intersection of Great Northern Boulevard with Country Club <br />Boulevard to a distance of approximately 1,600 feet west of that point; and <br />WHEREAS, Great Northern desires to illuminate Country Club Boulevard <br />from approximately 700 feet west of the intersection with Great Northern Boulevard <br />to 1,600 feet west of that point; and <br />WHEREAS, the City is desirous of improving the safety of the public <br />through roadway illumination; and <br />WHEREAS, the City requires that Great Northern, at Great Northern's <br />sole cost and expense, shall install street lighting on Country Club Boulevard <br />from approximately 700 feet west of the intersection with Great Northern Boulevard <br />and to a distance of approximately 1,600 feet west of that point consisting of <br />high-pressure sodium liminaires mounted on galvanized steel poles and underground <br />wiring; development of all plans, specifications and estimates of costs to be <br />prepared in accordance with the standards of the Cleveland Electric Illuminating <br />Company and the City; and <br />WHEREAS, following the installation-of said street illumination and <br />appurtenances, the same are intended to become the property of the City, and the <br />City shall, after twenty-four (24) months of operation become responsible for <br />the operation, maintenance and replacement of the street illumination; and <br />WHEREAS, the Cleveland Electric Illuminating Company shall, through <br />agreement with the City, provide the power and maintenance. <br />NOW, THEREFORE, for valuable consideration, the receipt and legal <br />sufficiency of which are hereby acknowledged, the parties agree; <br />(1) Great Northern, at Great Northern's sole cost and expense, shall <br />have prepared plans, specifications and estimates of cost approved by the City <br />Engineer and the Cleveland Electric Illuminating Company for the roadway <br />illumination of Country Club Boulevard from approximately 700 feet west of the <br />intersection with Great Northern Boulevard and to a distance of approximately <br />1,600 feet west of that point. <br />(2) The plans shall include high-pressure sodium liminaires mounted <br />on galvanized steel poles and underground wiring to provide an average of 1.5 <br />horizontal foot-candles with a uniformity ratio of 3 to 1. <br />(3) Great Northern, at Great Northern's sole cost and expense, and in <br />accordance with the plans and specifications, approved by the City Engineer and <br />the Cleveland.Electric Illuminating Company, shall cause to be installed the <br />roadway illumination and shall assign to the City such warranties as Great <br />Northern shall receive from manufacturers and/or contractors with respect to <br />said roadway illumination and installation. <br />(4) Upon completion of installation of said roadway illumination and <br />inspection and acceptance by the City, said roadway illumination on Country <br />Club Boulevard shall, after twenty-four (24) months of operation, be and remain <br />the sole property of the City; and thereafter the City, at the City's sole cost and
