EXHIBIT <br />AGREEMENT <br />between <br />CITY OF NORTH OLMSTED, OHIO <br />and <br />M113 CONSULTING, LLC. <br />for <br />ECONOMIC DEVELOPMENT CONSULTING SERVICES <br />This AGREEMENT made at North Olmsted Ohio, on the day of April 2019 by and <br />between the City of North Olmsted, 5200 Dover Center Road, North Olmsted, Ohio 44070 <br />[hereinafter referred to as "CITY"], and M133 Consulting, LLC, 6151 Wilson Mills Road, Suite <br />220, Highland Heights, Ohio 44143 [hereinafter referred to as "CONTRACTOR"]; <br />WHEREAS, CONTRACTOR, on the 23`d day of January 2019 submitted a scope of <br />services letter [hereinafter referred to as the "SERVICE LETTER"] to the CITY describing the <br />SERVICES; <br />WHEREAS, Ordinance 2019- approved by City Council on the day of <br />authorizes the Mayor to dispense with the RFP process and enter into an agreement with <br />CONTRACTOR for the purpose of providing economic development consulting services <br />[hereinafter referred to as the "SERVICES"] to the City; and <br />NOW THEREFORE, the CITY and CONTRACTOR, each acknowledging the <br />sufficiency of the consideration contained in the terms and conditions of the Agreement, agree as <br />follows: <br />SECTION 1. BASIC SERVICES <br />1.1 The SERVICES required to be performed by CONTRACTOR under this <br />Agreement shall be the basic services described in the Contractor's SERVICE LETTER and <br />Exhibits I and IV. <br />
