any improvements to the building and its facility, with the exception of the equipment owned and maintained by contractor. North Olmsted Gymnastics shall be responsible for the maintenance and repair of all other gymnastics equipment used at the Recreation Complex which North Olmsted Gymnastics presently owns or subsequently acquires. 2. Assist in advertising programs conducted by Instructor, including providing space in seasonal brochures published by the City for publicity of North Olmsted Gymnastics programs. The City reserves the right to identify North Olmsted Gymnastics as an independent contractor in any and all such promotional materials and shall provide North Olmsted Gymnastics with an opportunity to review such disclaimer language. 3. Register students in rec gymnastic classes conducted by North Olmsted Gymnastics, and collect fees charged by North Olmsted Gymnastics, provided that such programs and the fee schedule are previously approved by the City. North Olmsted Gymnastics will collect all fees from Team participants. 4. Provide reasonable access to office equipment and reasonable amounts of office supplies. 5. Grant North Olmsted Gymnastics access to and use of any and all gymnastic equipment in the gym area for use during any and all programs operated herein. Further, the City shall review any scheduling changes or conflicts with North Olmsted Gymnastics so that established and scheduled gymnastics programs are not relocated or restricted from access to the area and equipment as a result of such scheduling of other programs. 6. The City of North Olmsted shall post signage in conspicuous locations that discloses that the North Olmsted Gymnastics is an independent contractor of the City. 7. Be responsible for cleaning the locker rooms, lobby area, bleachers and walkway. Section IV Duration of Contract The term of this agreement shall be for a period commencing September 1, 2019 and terminating on August 31, 2020. The City and North Olmsted gymnastics shall meet no later than May 31, 2020 to discuss 2020/2021 contract options. Section V Payment; Reimbursement; Property Ownership The City shall pay North Olmsted Gymnastics the amount collected by the City through registration for programs conducted by Instructor less a monthly fee of $8,000. Payment will be made to North Olmsted Gymnastics semi-monthly, less $4,000 each pay including refund, credit, nsf and gift certificate adjustments. Should the bi-monthly revenue not meet the $4,000 required payout to North Olmsted Recreation, the remaining balance will be added on to the next bi-monthly payout. The City and North Olmsted Gymnastics agree that North Olmsted Gymnastics owns all gymnastic equipment located in the gym area. The City of North Olmsted owns the Penco All Star Bleacher Set.
