EXHIBIT W J V quasar energy group NORTH OLMSTED CENTRIFUGE AGREEMENT This proposal is to detail the agreement between the City of North Olmsted and quasar energy group in reference to the derelict centrifuge that North Olmsted is giving to quasar in exchange for a specified rate reduction for their sludge disposal service. quasar and North Olmsted have agreed on a price of $6,000 for the centrifuge and spare parts. Instead of paying North Olmsted that amount, quasar has agreed to discount sludge disposal services to the City by $15 per ton for the next 400 tons starting September 1, 2019. The sludge disposal price for those 400 tons will be $17 per ton. quasar personnel will come to North Olmsted WWTP to disassemble the centrifuge and transport to quasar's site. North Olmsted has agreed to assist in the disassembly process and provide guidance over the phone, if needed, on reassembly. North Olmsted has also agreed that quasar shall receive all spare parts associated with the centrifuge. Upon approval from the City, quasar will commence this work.
