CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2019 - 92 <br />BY: Mayor Kennedy <br />A RESOLUTION DISPENSING WITH THE FORMAL RFP PROCESS <br />AND A UTHORIZING THE MA YOR TO ENTER INTO AN A GREEMENT <br />WITH SEDGWICK IN ORDER TO PROVIDE FOR MANAGED CARE <br />SERVICES AND ADMINISTRATION OF SELF-INSURED WORKERS <br />COMPENSATION PROGRAM. <br />WHEREAS, Integrated Consulting Services and Care Works (nka York) have, since <br />1999, continuously provided managed care and administrative services for the City of North <br />Olmsted, specifically with respect to its self-insured workers compensation program; and <br />WHEREAS, Human Resources has maintained a close working relationship with said <br />third -party administrators in order to manage ongoing self-insured claims, subject to audit by the <br />Ohio Bureau of Workers Compensation, and also tracking Family Medical Leave (FMLA); and <br />WHEREAS, York has recently been acquired by Sedgwick and proposes an annual <br />renewal of its contract for personal and professional services, a copy of which is attached, for <br />2020, in consideration of an annual base fee of $25,350.00; and <br />WHEREAS, Section 112.10(c) of the Administrative Code provides, as an exception to <br />the RFP process, that the City may, upon approval of the Council, dispense with a formal RFP if <br />the services sought are of such a unique or specialized nature that conducting a formal RFP will <br />likely not result in obtaining proposals from two qualified firms; and <br />WHEREAS, it is the desire of this Council, based upon the recommendation of the <br />Human Resources Director, to authorize the Mayor to enter into an agreement with Sedgwick, as <br />a successor to Care Works, to continue to provide such administrative services. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be, on behalf of the City of North Olmsted, and he is <br />hereby authorized to enter into an Agreement with Sedgwick to provide for claims <br />administration for managed care of the City of North Olmsted's self-insured workers <br />compensation program, including FMLA. Said Agreement shall be in the form and substance of <br />the Renewal Fee Proposal attached to this legislation as Exhibit A, with such changes in form <br />and substance that are not substantially adverse to the City and which are approved by the <br />Director of Law. The character of the agreement as not being substantially adverse to the City <br />shall be evidenced conclusively by the execution of the agreement by the Mayor and the <br />approval of the contract by the Director of Law. <br />SECTION 2: That this Resolution shall take effect and be in force from and after the <br />earliest period allowed by law. <br />PASSED: I oy( cyN r First Reading: <br />Second Reading: f) I <br />Third Reading: <br />
