CITY OF NORTH OLMSTED RESOLUTION NO. 2019 - 98 By: Mayor Kennedy A RESOL UTION A UTHORIZING THE MA YOR TO ENTER INTO A ONE YEAR CONTRACT WITH TAC COMPUTER INC. IN ORDER TO PROVIDE MAINTENANCE AND REPAIR SERVICES TO COMPUTER HARDWARE AND SOFTWARE IN THE NORTH OLMSTED POLICE DEPARTMENT, AND DECLARING AN EMERGENCY, AS AMENDED. WHEREAS, the City's current contract with TAC Computer Inc., providing maintenance and repair services for certain computer hardware and software in the North Olmsted Police Department expires on December 31, 2019; and WHEREAS, it is the recommendation of the Director of Public Safety that the said contract be immediately renewed on the exact same terms and conditions for the year 2020, because continuity of the services provided is vital and necessary for the essential operations of the Police Department; and WHEREAS, it is accordingly the desire of this Council to authorize the Mayor to enter into a one (1) year renewal contract with TAC Computer Inc. to provide maintenance and repair services for computer hardware and software for the North Olmsted Police Department for the year 2020. NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: SECTION 1: That the Mayor be and he hereby is authorized to enter into a one (1) year renewal / extension contract with TAC Computer Inc., for the period January 1, 2020 through December 31, 2020, in order to provide maintenance and repair services for computer hardware and software for the North Olmsted Police Department. The renewal contract shall be in form and substance substantially similar to the attached Flat Rate Service Agreement, marked as Exhibit A, and attached hereto, with only such changes to be hereinafter made in said contract as are not substantially adverse to the City and which are approved by the Director of Law. The character of any such changes as not being substantially adverse to the City shall be evidenced conclusively by the execution of the Agreement by the Mayor and the approval of the Agreement by the Director of Law. SECTION 2: That this Resolution is hereby declared to be an emergency measure immediately necessary for the preservation of the public health, safety and welfare, and for the further reason that the current contract expires and requires renewal for 2020 to maintain computer system, and further provided it receives the affirmative vote of two-thirds of all members of Council, it shall take effect and be in force immediately upon its passage and approval by the Mayor.
