CONTRACT FOR THE PURPOSE OF PURCHASING OF COMMUNITY MEALS <br />This Agreement is entered into as of the date of the last signature hereto by and between <br />Western Reserve Area Agency [hereinafter, occasionally, "Agency"], an Ohio non-profit <br />corporation serving the Counties of Cuyahoga, Geauga, Lake, Lorain and Medina and the City of <br />North Olmsted's Senior Center ["Contractor"] in conjunction with the 2020 Older Americans Act / <br />Senior Community Services Nutrition Program. <br />WHEREAS, Western Reserve Area Agency on Aging has in the past permitted provider <br />agencies to purchase informally from the Agency additional meals ["Community Meals"] for <br />Nutrition Services Incentive Program ["NSIP"]-eligible participants. The Administration on Aging <br />(AOA) rewards states that efficiently deliver nutritious meals to older adults through NSIP; and <br />WHEREAS, the Agency desires to formalize the practice of permitting provider agencies <br />to order and purchase Community Meals for NSIP-eligible participants through a written Contract <br />Agreement. <br />NOW, THEREFORE, the Parties, intending to be legally bound, do hereby enter into this <br />Contract Agreement ["Agreement"] with respect to all Community Meals ordered by Contractor <br />through the WRAAA meal order system: <br />1. Any and all Community Meals sold by the Agency to Contractor through December <br />31, 2020 shall be sold pursuant to this Agreement. Nothing in this Agreement shall require the <br />Agency, on any particular occasion, to sell Community Meals or any particular number of <br />Community Meals to Contractor in response to a request for Community Meals from Contractor. <br />Contractor agrees to abide by the terms and conditions of this Agreement with respect to any and <br />all Community Meals sold to Contractor by the Agency. <br />2. Should Contractor determine to order Community Meals from the Agency, <br />Contractor shall request that the Agency sell Community Meals to Contractor by ordering those <br />meals through the WRAAA meal order system now in place, one week in advance. Upon <br />receipt of an order for Community Meals, the Agency will notify the Contractor within two <br />business days with respect to the number of Community Meals the Agency will not sell to <br />Contractor, if any. By placing an order for Community Meals, the Contractor thereby agrees to <br />POS 2 of 6 Final <br />
