GUARANTEE In consideration of the terms and conditions set forth herein and in the purchase order to be issued pursuant hereto, TTX will deliver a fully functioning ShoreTel UP phone system programmed and configured to Customer's specifications as requested and designed in coordination with the Customer's representatives and the TTX project team > 2.DELIVERY AND INSTALLATION TTX shall deliver and install the equipment required to install the ShoreTel IP phone system (the "Equipment") on the Customer's premises at the installation address. TTX shall use its best efforts to complete the installation by the agreed date specified in the Agreement subject to mutually agreeable changes confirmed by TTX in writing. The term "Cut over Date" shall mean the date on which the customer is notified in writing by TTX that the Equipment is installed and is functioning so as to be substantially providing the basic service for which the Equipment is intended. Minor Omission or variances in performance of the Equipment, which do not materially affect the operation of the system as a whole, shall not affect or postpone the Cut over Date. Minor Omission shall be defined as. Components (either software or hardware) that represent modifications to the original schedule of equipment and/or scope of work and impact a small number of individual users. > 3.TITLE TO EQUIPMENT: SECURITY INTEREST; RISK OF LOSS Customer shall acquire title to the Equipment, including all additions thereto, upon payment in full of the Purchase Price, plus all applicable taxes, to TTX. As long as any part of the Purchase Price due remains outstanding, title to the Equipment shall remain with TTX, and TTX shall retain a security interest in the Equipment until all amounts due are paid in full. TTX shall bear the risk of loss of, or damage to the Equipment; (a) while it is in transit to Customer's premises; and (b) while at the Premise until Cut over Date except for loss or damage caused by Customer's negligence, or from improper storage of the Equipment, or storage in areas accessible to unauthorized persons. After the Cut over Date, all risk of loss of, or damage to, the Equipment shall be borne by Customer notwithstanding TU'retention of title as provided above. > 4. CONDITIONS FOR INSTALLATION: ACCESS Customer shall make available a place in the Premises for installation of the Equipment that meets certain environmental and other specifications including, without limitation, those specifications set forth on any Schedule to be provided by TTX. Customer shall also permit or arrange for access to the Premise for TTX's installation and maintenance personnel, and shall provide a suitable protected area for storage of the Equipment pending its installation. Customer shall supply all supplemental equipment required for the installation such as, without limitation, conduits, commercial power, wiring, dedicated equipment room, A/C outlets and appropriate access to it.
