www.ohiofoodbanks.org Fresh Food Capacity Building Grant Indemnification Agreement The Grantor, the Ohio Association of Foodbanks, wishes to support the below named Grantee in the improvement of its operations through the provision of the below identified small equipment which will help the Grantee maintain/increase access to fresh, healthy foods for low-income households through its food pantry. Indemnification - The Ohio Association of Foodbanks, its officers, agents, and employees shall not, in any manner, be liable for any loss or damage connected to or resulting from any work done under this grant; nor to any materials, small equipment, or other property that may be used or employed in connection herewith, or for any damages to any person whether an employee of the Grantee or any subcontractor or otherwise. The grantee agrees to indemnify, defend, save harmless the Ohio Association of Foodbanks, its officers, agents, and employees from any and all claims and losses accruing or resulting to the Grantee, contractors, subcontractors, material providers, laborers, clients, and any other person, firm, or corporation furnishing or supplying work, services, materials, or supplies in connection with the negligent performance of this grant; from any and all claims and losses accruing or resulting from any person, firm, or corporation who may be injured or damaged by the Grantee's, contractor's, or subcontractor's negligence in the performance of this grant; and against any and all liability, including costs and expenses, for violation of proprietary rights, copyrights, or right of privacy.
