4Shift4 Contract Amendment PAYMENTS Gateway Services Agreement GATEWAY SERVICES AGREEMENT AMENDMENT This Amendment by and between Shift4 Corporation ("SHIFT4"), a Nevada Corporation, located at 1551 Hillshire Rd., Las Vegas, NV 89134, and Golf Course and Ballroom ("Merchant and/or CLIENT"), located at 5871 Canterbury Road North Olmsted, OH 44070. This Amendment is intended to amend and restate the Gateway Services Agreement and any amendments, addendum and exhibits related thereto entered into between SHIFT4 and Merchant ("Service Agreement"). NOW THEREFORE, in consideration of the mutual promises made herein and other valuable consideration, receipt and sufficiency of which is are hereby acknowledged, SHIFT4 and Merchant do hereby agree as follows: 1. The Parties hereby amend the terms and conditions of the Gateway Services Agreement ("Amended Service Agreement") as follows: 2. The Parties hereby agree to delete Section 2.1 in its entirety, and that Section 2.1 shall now read: 2.1. The "Initial Term" of this Gateway Services Agreement shall be for a period as defined in the Application, but if you did not sign an Application that defines the Initial Term, it shall be for two (2) years from the Effective Date 3. The Parties hereby agree to delete Section 2.2 in its entirety, and that Section 2.2 shall now read: 2.2. This Gateway Services Agreement shall commence on the Effective Date and continue until the end of the Initial Term unless terminated in accordance with Section 5 (Termination). This Gateway Services Agreement shall automatically renew for successive one- (1) month periods (each, a "Successive Term" and together, the "Successive Terms") unless 'Merchant or SHIFT4 provides the other with thirty (30) days' written notice of non -renewal prior to a Successive Term taking effect, in compliance with Section 5. The Initial Term and the Successive Terms shall be referred to herein collectively as the "Term." 4. The Parties hereby agree to delete Section 9.4 in its entirety, and that Section 9.4 shall now read: 9.4. Merchant understands and agrees that it will be responsible for any Cardholder Information loss and/or POS/PMS Breach, as defined in Section 22 herein, and will be further responsible for any losses, liabilities, damages, claims, deficiencies, or costs caused by its failure to observe a duty of reasonable care or having a PCI DSS compliant environment in preventing such Cardholder Information loss and/or POS/PMS Breach, 5. The Parties hereby agree to delete Section 11.9 in its entirety, and that Section 11.9 shall now read: 11.9. Merchant acknowledges that the solution to a particular support problem may be resolved by an update to a newer version of DOTH or any of its components. Merchant further acknowledges that potential security vulnerabilities may be discovered from time to time and that the only way to correct the security vulnerability is to create a newer version of DOTN or its components. Merchant further acknowledges that credit card regulations may change from time to time or a particular Downgrade issue may be discovered by Merchant's Merchant Services Provider(s), merchant bank(s), or Credit Card Processor(s) and the only way to make these regulation changes or to correct these Downgrade issues is to create a newer version of DOTN or components. Notwithstanding the above, SHIFT4 acknowledges that Merchant, pursuant to regulation, standard or policy, may have a need to validate software installed in its environment and desire to delay installation of the newer version of portions of DOTN applicable to Merchant's environment (e.g., UTG). Once Merchant is informed of the availability of any of these newer versions, Merchant agrees that Merchant will not request support on the particular covered issue and SHIFT4 is not obligated to further trouble -shoot such issue.
