CITY OF NORTH OL.MSTED <br />RESOLUTION NO. 2020 - 50 <br />BY: Mayor Kennedy <br />A RESOLUTION DISPENSING WITH THE FORNIAL RFP PROCESS <br />AND .4 UTHORIZING THE M.4 YOR TO ENTER INTO AN A GREENIENT <br />WITH BASIC, INC. IN ORDER TO PROVIDE F.M.L.A. <br />ADNIINISTRATIVE SERVICES, AND DECLARI.NGANE.NIERGENC}. <br />WHEREAS, in 2019 this Council authorized a contract with Sedgwick to provide, among <br />other services, Family Medical Leave Act (F.M.L..A.) tracking and administration; and <br />WHEREAS, Sedgwick has notified the City that it is discontinuing its F.M.L.A. <br />administrative services to the City effective May 1, 2020: and <br />WHEREAS, Section 1 12.10(c) of the Administrative Code provides. as an exception to <br />the RFP process, that the City may, upon approval of the Council, dispense with a formal RFP if <br />the services sought are of such a unique or specialized nature that conducting a formal RFP will <br />likely not result in obtaining proposals from two (JUalified firms, and <br />WHEREAS, despite efforts, the Human Resources Department has been unable to find <br />multiple, potential vendors to serve in this capacity, at a similar price as was previously charged <br />by Sedgwick, with the exception of Basic. <br />WHEREAS, it is the desire of this Council, based upon the recommendation of the <br />Human Resources Director, to authorize the Mayor to enter into an agreement with Basic, to <br />provide such F.M.L.A. administrative services. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be, on behalf of the City of North Olmsted, and he is <br />hereby authorized to enter into an Agreement with Basic to provide for claims administration for <br />F.M.L.A. claims. Basic is currently dealing with the Covid 19 epidemic and has not been able to <br />present a contract. The proposal is attached hereto. Said Agreement shall be in the substance of <br />the Proposal attached to this legislation as Exhibit A. with such changes in form and substance <br />that are not substantially adverse to the City and which are approved by the Director of l_,aw. Tile <br />character of the agreement as not being substantially adverse to the City shall be evidenced <br />conclusively by the execution of the agreement by the Mayor and the approval of the contract by <br />the Director of Law. <br />SECTION 2: That this Resolution is hereby declared to be an emergency measure <br />immediately necessary for the preservation of the public health, safety and welfare and for the <br />further reason that it is immediately necessary that this legislation go into effect immediately so <br />that the four (4) week lead in time to commence services with Basic is satisfied allowing Basic to <br />be in place by the time the contract with Sedgwick expires (May, 1, 2020); and further provided it <br />receives the affirmative vote of two-thirds of all members of Council, it shall take effect and be <br />in force immediately upon its passage and approval by the Mayor. <br />
