CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2020 - 118 <br />BY: Mayor Kennedy <br />A RESOLUTION AUTHORIZING THE MAYOR TO RENEW THE <br />CONTRACT BETWEEN THE CITY AND KARRIE SKALL TIPTON / <br />NORTH OLMSTED GYMNASTICS, INC FOR THE PROVISION OF <br />PROFESSIONAL GYMNASTICS INSTRUCTION SERVICES AT THE <br />NORTH OLMSTED RECREATION CENTER FOR AN ADDITIONAL SIX <br />MONTH TERM WITH OPTION TO EXTEND FOR FULL ONE (1) YEAR, <br />AS AMENDED. <br />WHEREAS, Karrie Skall Tipton has, pursuant to a series of contracts authorized by this <br />Council, provided gymnastics program services at the City's Recreation Center since 1999; and <br />WHEREAS, it is the recommendation of the Mayor that the current contract between the <br />City and Ms. Tipton / North Olmsted Gymnastics, Inc. be renewed for an additional six (6) <br />month term, for the retroactive period October 1, 2020 through March 31, 2021; and <br />WHEREAS, it is the desire of this Council to dispense with initiating an RFP or RFQ <br />process for said services and to approve and authorize the renewal contract with Ms. Tipton / <br />North Olmsted Gymnastics, Inc. in substantially the form as attached hereto, to provide for the <br />contract to be effective as of October 1, 2020, and to authorize the Mayor to execute said <br />contract. <br />NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, CUYAHOGA COUNTY, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be and he hereby is authorized to execute a renewal <br />contract with Karrie Skall Tipton / North Olmsted Gymnastics, Inc. in substantially the form and <br />substance as evidenced in the Agreement for Gymnastic Instruction Services, attached to this <br />Ordinance as "Exhibit A," with only such changes to said contract to be hereinafter made as are <br />not substantially adverse to the City and which are approved by the Director of Law. The <br />character of any such changes as not being substantially adverse to the City shall be evidenced <br />conclusively by the execution of the agreement by the Mayor and the approval of the agreement <br />by the Director of Law. Said contract shall be for a six (6) month term retroactively effective <br />October 1, 2020 and, concluding March 31, 2021, unless an option to extend is exercised by <br />Contractor. <br />SECTION 2: That this Resolution shall take effect and be in force from and after the <br />earliest period allowed by law upon its passage and approval by the Mayor. <br />PASSED: I � First Reading: <br />Second Reading: IJ- <br />Third Reading: <br />
