Section III Manner of Performance of Services North Olmsted Gymnastics agrees to perform, at all times faithfully, industriously, and to the best of their ability, experience, and talent, all of the duties that may be required of and from North Olmsted Gymnastics pursuant to the express and implicit terms of this agreement, to the reasonable satisfaction of the City. North Olmsted Gymnastics shall exercise independent judgment and control over the discharge of such duties, as an independent contractor, deploying such personnel and equipment to perform such duties. North Olmsted Gymnastics shall obtain any and all parental consent in writing and shall also secure signatures upon Recreation Participant Forms required by the City of North Olmsted. North Olmsted Gymnastics shall not permit participation prior to or in the absence of such waiver and release forms, which must be retained on file and renewed seasonally. Such responsibilities of North Olmsted Gymnastics shall include, but are not limited to: 1. Operate classes only during hours when the Recreation Complex is open. 2. Provide information necessary to register, organize, and advertise classes and programs conducted or supervised by Instructor. Such information will include class length, time, cost, and other details as necessary or as demanded by the City. 3. Provide proper supervision and qualified instructors for all programs conducted by North Olmsted Gymnastics. All Instructors shall be trained by North Olmsted Gymnastics and thereby clearly demonstrate knowledge of safety precautions for gymnastics instruction. 4. Hire, fire, pay, supervise, and schedule all instructors. Instructors shall be employees of North Olmsted Gymnastics and shall not be employees of the City of North Olmsted. Supervision and control of such employees shall be the exclusive responsibility of said contractor. 5. Refuse to allow participation in classes, lessons, or activities by unregistered or improperly registered persons, including any and all waiver and release forms. 6. North Olmsted Gymnastics shall be responsible for maintaining the inventory of all gymnastics equipment. North Olmsted Gymnastics shall reasonably determine, from time to time, whether new equipment is needed in order to maintain the facility as a state of the art facility. North Olmsted Gymnastics shall be responsible for supplying all such necessary equipment, the purchasing thereof, and paying for said equipment in full. 7. Obtain approval from the Recreation Commissioner prior to making changes, alterations, improvements, or additions to the gym area. All such improvements or alterations are fixtures, and shall remain property of the City. 8. Obtain and maintain general sports liability insurance for gymnastic instruction activities with policy limits of one million/two million and which names the City of North Olmsted as "an additional Insured" party and provides the City with notice of cancellation. Copy and file certificates with City. 9. Obtain and maintain workers compensation insurance for gymnastic instructors and all employees of contractor. Copy and file certificates with City. 10. North Olmsted Gymnastics shall disclose to customers, in conjunction with registration forms, that it is an independent contractor of the City of North Olmsted.
