CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2020 - 154 <br />BY: Mayor Kennedy <br />A RESOLUTION DISPENSING WITH THE FORMAL RFP PROCESS <br />AND A UTHORIZING THE MA YOR TO ENTER INTO AN A GREEMENT <br />WITH SEDGWICK IN ORDER TO PROVIDE FOR MANAGED CARE <br />SERVICES AND ADMINISTRATION OF SELF-INSURED WORKERS <br />COMPENSATION PROGRAM, AND DECLARING AN EMERGENCY. <br />WHEREAS, Integrated Consulting Services and Care Works (tka York and nka <br />Sedgwick) have, since 1999, continuously provided managed care and administrative services <br />for the City of North Olmsted, specifically with respect to its self-insured workers compensation <br />program; and <br />WHEREAS, Human Resources has maintained a close working relationship with said <br />third -party administrators in order to manage ongoing self-insured claims, subject to audit by the <br />Ohio Bureau of Workers Compensation, and also tracking Family Medical Leave (FMLA); and <br />WHEREAS, Sedgwick proposes a three (3) year renewal of its contract for personal and <br />professional services, a proposal for which is attached, in consideration of an annual base fees of <br />$26,111.00 for 2021, $26,896.00 for 2022, and $27,701.00 for 2023; and <br />WHEREAS, Section 112.10(b) of the Administrative Code provides, as an exception to <br />the RFP process, that the City may, upon approval of the Council, dispense with a formal RFP if <br />the services sought are of a continuing nature; and <br />WHEREAS, it is the desire of this Council, based upon the recommendation of the <br />Director of Human Resources, to authorize the Mayor to enter into an agreement with Sedgwick, <br />as a successor to Care Works, to continue to provide such administrative services. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be, on behalf of the City of North Olmsted, and he is <br />hereby authorized to enter into a Three (3) year Agreement with Sedgwick to provide for claims <br />administration for managed care of the City of North Olmsted's self-insured workers <br />compensation program, including FMLA. Said Agreement shall be in the form and substance of <br />the Renewal Fee Proposal attached to this legislation as Exhibit A, with such changes in form <br />and substance that are not substantially adverse to the City and which are approved by the <br />Director of Law. The character of the agreement as not being substantially adverse to the City <br />shall be evidenced conclusively by the execution of the agreement by the Mayor and the <br />approval of the contract by the Director of Law. <br />SECTION 2: That this Resolution is hereby declared to be an emergency measure <br />immediately necessary for the preservation of the public health, safety and welfare and for the <br />further reason that it will immediately renew and extend the Agreement before it expires on <br />December 31, 2020, and in order to maintain compliance with self-insured workers <br />compensation requirements; and further provided that it receives the affirmative vote of two- <br />thirds of all members of Council, it shall take effect and be in force immediately upon its passage <br />
