When Grantor acquired the above -referenced Parcel 166WD, it was designated as right of <br />way of Butternut Ridge Road, a City of North Olmsted municipal street and a portion was used <br />for reconstruction of the street and the remainder was used for construction of the pedestrian/bike <br />path and associated landscaping and fencing. Grantor will convey the entire Parcel 166WD without <br />distinguishing between the Butternut Ridge Road right of way and the multi -use path lands. <br />7. Grantor is conveying all portions of the Subject Property in an AS -IS, WHERE -IS <br />condition, WITH ALL FAULTS, including all defects, known or unknown; provided, however, <br />Grantor (without a duty to inspect and discover) shall disclose to Grantee any and all defects or <br />faults known to Grantor. Both Grantor and Grantee are acting at arm's length to protect their own <br />interests, and Grantee has and will use its own independent judgment concerning the sale and <br />purchase of the Subject Property. Grantor does not make to Grantee, and Grantor expressly <br />disclaims, any representations, warranties and/or guarantees, express or implied, oral or written, <br />of any kind whatsoever as to the Subject Properties, including but not limited to any warranties of <br />title. <br />8. Grantor is not aware of any adverse environmental condition on any portion of the Subject <br />Properties. In the event that an adverse environmental condition is discovered prior to or after the <br />date of transfer of title, Grantee accepts all environmental liability and responsibility with respect <br />to the land and its improvements and further agrees that the State of Ohio and its Department of <br />Transportation, employees, agents, contractors and officials shall not retain any liability or <br />responsibility for any and all damages, claims, liability, loss, fines, or expenses, including, but not <br />limited to, attorney's fees and litigation costs, related to the discovery, presence, disposal, release <br />Page 4 of 9 <br />
