Additional Property without first offering it for sale to the Purchaser pursuant to Section 3313.41(C) <br />of the Revised Code, at a purchase price to he determined as described below. <br />The purchase price for any Additional Property shall be the appraised value of that <br />Additional Property as determined by an appraiser reasonably acceptable to both the Seller and the <br />Purchaser and as set forth in an appraisal made in conformity with generally accepted professional <br />standards, assuming the Additional Property to be vacant (whether or not such property is in fact <br />vacant at the time) and to be redeveloped for residential development (without regarding to zoning). <br />If such Additional Property is not vacant at the time, either (i) the Seller shall assume responsibility <br />for and cause such Additional Property to he vacant prior to its conveyance to the Purchaser or (ii) <br />the estimated cost of razing any structures on the Additional Property to restore it to a vacant state, <br />as deterrnined by a construction professional reasonably acceptable to both the Seller and the <br />Purchaser made in conformity with generally accepted professional standards, would be deducted <br />from the appraised value described above. <br />13. Notices. Notices required hereunder shall be in writing and shall be deerned to have <br />been given from the time of receipt by the addressee if delivered in person or sent by facsimile or <br />courier or as of the third business day after deposit in the United States mail, postage prepaid for <br />registered or certified mail. All understandings and agreements made heretofore between <br />the Seller and the Purchaser are merged into this Agreement, including any Exhibits hereto, which <br />fully and completely expresses the agreement between the parties and the same is entered into after <br />full investigation, neither party relying upon any statement, representation, agreement or <br />understanding, oral or written, not set forth in this Agreement or an addendum hereto signed by <br />the parties. <br />
