EXHIBIT <br />s A <br />9 <br />ECONOMIC DEVELOPMENT AGENCY AGRERMENT <br />WHEREAS, in the public interest and for the public purposes authorized by Section 13 of <br />Article VIII of the Constitution of the State of Ohio, and pursuant to the provisions of Chapter <br />1724 of the Ohio Revised Code and in conformity with its policy to promote the health, safety, <br />and general welfare of its inhabitants, the City of North Olmsted, a municipal corporation <br />organized and existing under the laws of the State of Ohio (herein called the "City"), has designated <br />the North Olmsted Community Improvement Corporation, a community improvement corporation <br />organized and existing as a corporation not for profit under the laws of the Stale of Ohio <br />(hereinafter referred to as the "Corporation"), as its agency and instrumentality lot commercial, <br />distribution and research development in the City; and <br />WHEREAS, the Corporation was formed to serve the residents of the City in the <br />revitalization and enhancement of property and the business environment within the City by <br />advancing, encouraging and promoting industrial, commercial and civic development; and <br />WHEREAS, Section 1724.10 of the Ohio Revised Code grants a community improvement <br />corporation the authority to serve as an agent of the City for the industrial, commercial, distribution <br />and research development in the City and as the agent of the City for administering economic <br />development grants; and <br />WHEREAS, under such agency designation, Section 1724.10 authorizes the City to enter <br />into an agreement with a community improvement corporation to provide for the terms and <br />conditions of the corporation's operations and responsibilities as agent for the City; and <br />WHEREAS, City Council authorized the City to execute and deliver an Economic <br />Development Agency Agreement; and <br />WHEREAS, the Board of Directors of the Corporation and the City have reviewed the <br />Agreement and have recommended amendments to reflect changes made to provisions of -the Ohio <br />Revised Code governing community improvement corporations and to address the current <br />missions and duties of the Corporation as an agency of the City. <br />NOW, THEREFORE, the City and the Corporation do mutually agree this <br />day of _ , 2022. as follows: <br />I. the Corporation will constitute and act as the agency and instrumentality <br />of the Citv for industrial, commercial, distribution and research development in the <br />
