EXHIBIT A <br />Transportation Services Contract <br />This Transportation Sel'vices Contract (the Contract' ). made and entered into as of dr, <br />_ dat of 202 . by and hchaccn <br />("Recipient,' and Senior Transportation Connection, an Ohio non-profit corporation <br />I''Comra for 1. <br />11'HC'RLIS. the Recipient desires n) retain the Contractor to provide certain transportation service <br />to the Recipient and/or those for whom Recipient provides transportation opportunities or programs <br />('Passengers ): and <br />IVHEREIS. the Contractor is properly qualified to furnish transportation services and desires to <br />provide transportation services to the Recipient and/or its Passengers according in the terms and <br />conditions stated herein_ <br />Now, thcrelbe, the Recipient and the Contractor agree a,, tbl lot, , <br />SECTION L CONTRACTOR AS AN INDEPENDENT (ON HOLC'[OR <br />The Contractor shall provide the transportation services required herein as an independent <br />contructnr. Contractor is not and shall not be construed to he an agent or emplocee of the <br />Rccipient. As an independent contractor. the Contractor shall pac am and all lases imposed <br />by law upon Contractor. In performing the services hereunder, the Contractor shall comply <br />with all applicable federal slate and local Taws applicable to Contractor. I he Contractor shall <br />he responsible for Ohio workers compemm�on coverage for its employees and lot all income <br />as. social sccurm and Medicare tries, unenlploymenl saxes, and any other t, ithholdings from <br />Contractor's eiiii es' wages or salaries. <br />A) The Conu'actor shall hire, compensate and supervise members of its x%ml, lorcc, and <br />shall direct and control the manner m which nansportalion Rork is performed, including <br />the conditions under which individuals will be assigned duties, how individuals trill <br />report. and the hours individuals will work. <br />B) The Contractor shall not be exclusively bound to the Recipient and ma} provide <br />transportation or other services) to other private and public entities_ <br />SECTION 2: TERM <br />Subject to the early termination provisions contained in Section 13 of this Contract, the term <br />during which transportation sen'ices will be provided under this Contract shall begin on <br />,lanuary I, 2023 and end on December 31,2023 (Term'). Unless either part) serves written <br />notice of cancellation to the other party at least nine[)(90) days prior to the end of the Term, <br />the Term of this Contract shall rcnetc automatically' for successive one sear terms under the <br />same terms and conditions. except that the monthlc service fees shall increase in proportion <br />to the percentage change in the U.S. Consumer Price Index. all items, U.S. Bureau of Labor <br />Statistics, 1982-1984 — 100.
