FOURTH AMENDMENT TO OPTION AND GROUND LEASE AGREEMENT AND <br />FOURTH AMENDED MEMORANDUM OF AGREEMENT <br />This Fourth Amendment to Option and Ground Lease Agreement and Fourth Amended <br />Memorandum of Agreement ("Forth Amendment") is entered into as of the later of the signature <br />dates below, by and between CITY OF NORTH OLMSTED, an Ohio municipal corporation <br />("Lessor'l and TOWERCO 2013 LLC, a Delaware limited liability company ("Lessee"). <br />Whereas, Lessor and Lessee entered into that certain Option and Ground Lease <br />Agreement dated July 23, 2018, as amended by that certain First Amendment to Option and <br />Ground Lease Agreement and Amended Memorandum of Agreement dated September 26, 2018, <br />as amended by that certain Second Amendment to Option and Ground Lease Agreement and <br />Second Amended Memorandum of Agreement dated March 21, 2019 and further amended by <br />that certain Third Amendment to Option and Ground Lease Agreement and Third Amended <br />Memorandum of Agreement dated September 8, 2020 (as amended, the "Lease") for certain real <br />property and easements for that certain parcel of real property owned by Lessor located in the <br />County of Cuyahoga, State of Ohio. <br />Whereas, Lessor and Lessee executed a Memorandum of Agreement effective July 23, <br />2018 and recorded on August 20, 21018 with the Cuyahoga County Recorder as Instrument <br />Number 201808200060 ("Original Memorandum"). <br />Whereas, the First Amendment to Option and Ground Lease Agreement and Amended <br />Memorandum of Agreement was recorded on November 26, 21018 with the Cuyahoga County <br />Recorder as Instrument Number 201811260086 ("First Amended MOL"). <br />Whereas, the Second Amendment to Option and Ground Lease Agreement and Second <br />Amended Memorandum of Agreement was recorded on March 21, 2019 with the Cuyahoga <br />County Recorder as Instrument Number 201904170545 ("Second Amended MOL"). <br />Whereas, the Third Amendment to Option and Ground Lease Agreement and Third <br />Amended Memorandum of Agreement was recorded on March 21, 2019 with the Cuyahoga <br />County Recorder as Instrument Number 202009160007 ("Third Amended MOL"). <br />The Original MOL, as amended by the First Amended MOL, as amended by the Second <br />Amended MOL and as further amended by the Third Amended MOL are hereafter referred to as <br />the "MOL". <br />Whereas, Lessor and Lessee hereby agree to modify the Term of the Lease to a Term of <br />Fifty (50) years in exchange for a one time lump sum payment. <br />In consideration of the foregoing and their respective representations, warranties, <br />covenants and agreements herein contained, and other good and valuable consideration, the <br />receipt and sufficiency of which are hereby acknowledged, Lessor and Lessee hereby agree as <br />OR0391 <br />
