CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2024 - 33 <br />By: Mayor Jones <br />A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO A <br />THREE YEAR AGREEMENT WITH EVERBRIDGE, INC., TO PROVIDE <br />TEXT MESSAGING SERVICES, AND DECLARINGANEMERGENCY. <br />WHEREAS, the Administration of the City of North Olmsted has, over the course of <br />several years, engaged the services of text messaging providers in order to better inform residents <br />of emergency circumstances as well as community events, and these text messaging services <br />have become a reliable method of immediate communication as a public service; and <br />WHEREAS, the Administration has negotiated with Everbridge, Inc. to provide text <br />messaging services for the next three years, without automatic renewal, at the rate of $11,168.31 <br />per year, plus a one-time initiation fee of $893.46 payable in the first year; and <br />WHEREAS, additional benefits of Everbridge services include unlimited texting services <br />generated from unlimited contact lists, the data from which is retained by the City of North <br />Olmsted, and the text messaging by Everbridge is promised to be delivered much faster; and <br />WHEREAS, it is the recommendation of the Mayor that the City enter into a three-year <br />Agreement with Everbridge, Inc., based upon the terms, conditions and quoted fees of <br />$11,168.31 per year, plus installation fee of $893.46. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OFCUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be and she hereby is authorized to enter into a Three Year <br />Master Services Agreement with Everbridge, Inc. to provide text messaging services for the City <br />of North Olmsted in consideration of quoted fees in the amount of $11,168.31 per year, plus <br />installation fee of $893.46. The Agreement shall be in form and substance substantially similar <br />to the attached Master Service Agreement form, marked as Exhibit A, and attached hereto, with <br />such changes to be hereinafter made in said contract as we not substantially adverse to the City <br />and which are approved by the Director of Law. The character of any such changes as not being <br />substantially adverse to the City shall be evidenced conclusively by the execution of the <br />Agreement by the Mayor and the approval of the Agreement by the Director of Law. <br />SECTION 2: That this Resolution is hereby declared to be an emergency measure <br />immediately necessary for the preservation of the public health, safety and welfare and for the <br />further reason that immediate authorization will allow the Administration to transition to <br />Everbridge without interruption of text messaging services; and further provided that it receives <br />
