CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2024 - 83 <br />By: Mayor Jones <br />A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO AN <br />AGREEMENT WITH HARRINGTON ELECTRIC TO INSTALL BATTERY <br />BACK-UPS SYSTEMS FOR THE NORTH OLMSTED POLICE <br />DEPARTMENT AND DISPATCH CENTER, AND DECLARING AN <br />EMERGENCY. <br />WHEREAS, the Administration of the City of North Olmsted has engaged in <br />negotiations to expand the services provided by North Olmsted Dispatch, including proposals <br />before Council to enter into three (3) year Agreements with Olmsted Falls and Olmsted <br />Township; and <br />WHEREAS, the Director of Public Safety and the Chief of Police have thereby been <br />alerted to the urgent need to upgrade and purchase a Centralized Universal Battery Backup <br />System (UPS) for the purpose of securing Information Technology (IT) and Dispatch Center <br />capacity in order to provide for emergency services during a power outage; an <br />WHEREAS, the Administration has negotiated with Harrington Electric to provide UPS <br />at the cost of $108,000 based upon its knowledge and experience with the City's electrical <br />systems and ability to perform the installation of UPS on an emergency basis; and <br />WHEREAS, Article VDI, Section 6, of the Charter of the City of North Olmsted requires <br />Public Bidding for improvements in excess of limits imposed by State law but affords an <br />exception from Public Bidding "during real and present emergencies to immediately provide for <br />the health, safety and welfare of the residents of North Olmsted'; and <br />WHEREAS, it is the recommendation of the Mayor that the City enter into an Agreement <br />with Harrington Electric, on an emergency basis, in order to immediately secure UPS systems for <br />Central Dispatch and Police Dept. IT at a cost of $108,000.00. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be and she hereby is authorized to enter into an Agreement <br />with Harrington Electric to UPS systems for the Police Department IT and for the North Olmsted <br />Dispatch Center in consideration of quoted fees in the amount of $108,000.00. The Agreement <br />shall be in form and substance substantially similar to the attached Master Service Agreement <br />form, marked as Exhibit A, and attached hereto, with such changes to be hereinafter made in said <br />contract as are not substantially adverse to the City and which are approved by the Director of <br />Law. The character of any such changes as not being substantially adverse to the City shall be <br />evidenced conclusively by the execution of the Agreement by the Mayor and the approval of the <br />Agreement by the Director of Law. <br />
