Deliverv. Title and Risk of Loss. Motorola will provide to Customer the Products set forth in a Proposal, in <br />accordance with the terms of the Agreement. Motorola will, using commercially reasonable practices, pack the <br />ordered Equipment and ship such Equipment to the Customer address set forth in Section 5.6 or otherwise <br />provided by Customer in writing, using a carrier selected by Motorola. <br />Notwithstanding the foregoing and unless otherwise stated in a Equipment Lease - Purchase Agreement, <br />delivery of Equipment (and any incorporated Licensed Software) will occur, and title and risk of loss for the <br />Equipment will pass to Customer, upon shipment by Motorola in accordance with ExWorks, Motorola's premises <br />(Incoterms 2020). Customer will pay all shipping costs, taxes, and other charges applicable to the shipment <br />and import or export of the Products and Services, as applicable, and Customer will be responsible for reporting <br />�- the Products for personal property tax purposes. <br />Delivery of Licensed Software for installation on Equipment or Customer -Provided Equipment will occur upon <br />the earlier of (a) electronic delivery of the Licensed Software by Motorola, or (b) the date Motorola otherwise <br />makes the Licensed Software available for download or use by Customer. If agreed upon in a Proposal, <br />Motorola will also provide Services related to such Products. Title to Licensed Software will not pass to <br />Customer at anytime. Delivery of SaaS Products will occur when the Services are made available to Customer. <br />5.8. Delays. Any shipping dates set forth in a Proposal are approximate, and while Motorola will make reasonable <br />efforts to ship Products by any such estimated shipping date, Motorola will not be liable for any delay or related <br />damages to Customer. Time for delivery will not be of the essence, and delays will not constitute grounds for <br />cancellation, penalties, termination, or a refund. <br />5.9. Future Reoulatory Rea uirements. The Parties acknowledge and agree that certain Products (for example, cyber <br />services) are in evolving technological areas and therefore, laws and regulations regarding Products may <br />change. Changes to existing Products required to achieve regulatory compliance may be available for an <br />additional fee. Any required changes may also impact the price for Products. <br />5.10. Resale of Eauioment. Equipment may contain embedded Licensed Software. If Customer desires to sell its <br />used Equipment to a third party, Customer must first receive prior written authorization from Motorola, which <br />will not be unreasonably denied, and obtain written acceptance of the applicable Licensed Software license <br />terms, including the obligation to pay relevant license fees, from such third party. Customer will take appropriate <br />security measures when disposing of Equipment, including the deletion of all data stored in the Equipment. <br />6.
