CITY OF NORTH OLMSTED RESOLUTION NO. 2025 - 67 By: Mayor Jones A RESOLUTION AUTHORIZING THE MAYOR TO AMEND A JOB CREATION GRANT AGREEMENT WITH R.E. WARNER & ASSOCIATES, INC. IN ORDER TO CHANGE THE GRANT COMMENCEMENT AND ENDING DATES, AND DECLARING AN EMERGENCY. WHEREAS, this Council created, through the adoption of Ordinance No. 2007-102, an Economic Development Committee, for the purpose of reviewing applications for City Job Creation grants and recommending eligibility as well as appropriate grant terms; and WHEREAS, in 2023, this Council approved Resolution No. 2023-57 authorizing the Mayor to negotiate and enter into a Job Creation Grant with R.E. Warner & Associates, Inc. (the "Company"); and WHEREAS, R.E. Warner & Associates, Inc. provides professional services consisting of engineering and architectural consulting; and WHEREAS, pursuant to the authorization granted to the Mayor in Ordinance No. 2023- 57, the Mayor on behalf of the City and the Company entered into a Job Creation Grant Agreement in 2023, with a ten (10) year agreement, commencing 2024 and ending 2033; and WHEREAS, R.E. Warner & Associates, Inc. undertook a significant remodeling of the space, which, due to unforeseen matters in construction and through no fault of its own, delayed the move -in date, thereby affecting the compliance requirements of the Job Creation Grant Agreement; and WHEREAS, notwithstanding the delay, Company is currently in the space and is meeting its required contractual obligations, with the exception of the first -year requirements; and WHEREAS, the Company has requested that the City amend the Agreement in order change the start date from 2024 to 2025; and WHEREAS, it is accordingly the desire of this Council to authorize the Mayor to enter into an amended agreement with the Company in order to change the commencement date from 2024 to 2025.
