AGREEMENT FOR CONCESSION SERVICES THIS AGREEMENT is made this 7th day of August, 2025, at the City of North Olmsted, County of Cuyahoga, State of Ohio, between the City of North Olmsted, a municipal corporation ("the City") and North Olmsted Hockey Club, Inc., 26000 Lorain Road, North Olmsted, OH 44070 (herein "Concessionaire"). The parties have agreed, on the date first written, to the following terms, covenants and conditions set forth below, acknowledging that sufficient consideration exists for said modifications. Section I - Nature of and Place of Services Concessionaire shall administer a food service program for the City, and shall perform such other food services as are outlined by its contract proposal to the City. The City will permit Concessionaire access to and use of the designated spaces in the recreation center, during the scheduled events and designated time slots, commonly known as the concession areas (storage, food preparation & counter, dining area) consisting of approximately 2,515 square feet. This Agreement shall be construed to be a revocable license and shall not be construed to be a leasehold interest in property. Section II - Criminal Background Check Concessionaire shall comply with and abide by North Olmsted Code Section 131.03 with respect to criminal background checks. The City reserves the right to cancel and render this agreement void, ab initio, if in the judgment and the sole discretion of the Mayor, the background check requirement is either not met or the history of any employee, servant or volunteer of Concessionaire, is deemed unacceptable. Concessionaire hereby acknowledges that the failure of this condition precedent, for any reasons cited hereinabove, shall render the agreement void, without recourse or claim by Concessionaire against the City. Section III - Manner of Performance of Services Concessionaire agrees to perform, at all times faithfully, industriously, and independently, to the best of their ability, experience, and talent, all of the food service requirements pursuant to the express and implicit terms of this agreement, to the reasonable satisfaction of the City. Concessionaire shall exercise independent judgment and control over the discharge of such duties, as an independent contractor Responsibilities of Concessionaire shall include, but are not limited to: 1. Operate Concessions when the Recreation Complex is open and during such hours or events as agreed in contract proposal. 2. Provide food services as outlined by and at prices established by said contract proposal. 3. Hire, fire, pay, supervise, and schedule all food service employees, if at all, who shall be employees of Concessionaire and shall not be employees of the City. Supervision and control of such employees, if any, shall be the exclusive responsibility of said Concessionaire.
