CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2019 - 104 <br />BY: Mayor Kennedy <br />A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO A <br />VENDING SERVICES CONTRACT WITH PEPSICO FOODSERVICE, <br />AND DECLARING AN EMERGENCY. <br />WHEREAS, Commissioner of Recreation Betsy Drenski initiated the process for <br />selection of a vendor to provide beverage vending services throughout the City of North <br />Olmsted; and <br />WHEREAS, the current vendor, Coca Cola, has a ten (10) year contract expiring at the <br />end of December, 2019; and <br />WHEREAS, after advertising, receiving proposals and presenting the same to the <br />Board of Control, the Board of Control recommend Pepsico Foodservice as the successful <br />vendor who presented the most financially advantageous proposal to the City; and <br />WHEREAS, it is accordingly the desire of this Council, acting upon the <br />recommendation of the Board of Control to authorize the Mayor to enter into a ten (10) year <br />contract with Pepsico Foodservice. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be and he hereby is authorized to enter into a ten (10) <br />year contract with Pepsico, to provide vending / beverage service services to the City. Said <br />contract shall be in substantially the same form and substance as the contract attached hereto <br />as Exhibit A, with only such changes thereto as are not substantially adverse to the City and <br />which are approved by the Director of Law. The character of any such changes as not being <br />substantially adverse to the City shall be evidenced conclusively by the execution of the <br />agreement by the Mayor and the approval of the agreement by the Director of Law. <br />SECTION 2: That this Resolution is hereby declared to be an emergency measure <br />immediately necessary for the preservation of the public health, safety, and welfare, and for <br />the further reason it is necessary that this legislation go into effect immediately in order that <br />the City may provide uninterrupted beverage and vending service throughout the City, and <br />further, provided it receives the affirmative vote of two-thirds of all members of the Council, <br />it shall take effect and be in force immediately upon its passage and approval by the Mayor. <br />PASSED: <br />ATTEST: <br />First Reading: 12 -3- i`l <br />Second Reading: 12- 1(- t r� <br />Third Readin <br />Committee: <br />
