5. Taxes. Lessee agrees to pay, when the same are billed and due and pay- <br />able, all taxes and assessments, if any~ levied or assessed against said <br />premises during the term of this Lease commencing with and including such <br />taxes and assessments for the last half of the year 1972. <br /> <br />6. Public Liability. Lessee will indemnify Lessor and hold Lessor harmless <br />against all claims, demands and Judgments for'loss, damage or injury to <br />property of person, resulting or occurring by reason of the use and occupancy <br />of the Premises by Lessee. Lessee agrees to carry and pay for public <br />liab~ility insurance in limits of $100,000 and $300,000 and $5,000 on account <br />of damage to property, naming the Lessor as an insured, and to deposit <br />memorandum copies of certificate of such policy with Lessor. Such policy <br />shall provide that it may not be changed, cancelled, or terminated without <br />ten (10) days written notice by certified mail to Lessor. <br /> <br />7. Use add Care of Premises. Lessee shall use and occupy the Premises in a <br />careful, safe and proper manner, maintain the same in a ~lean and safe <br />condition in accordance with local ordinances a6d lawful direction of proper <br />public officials and shall not use or allow the Premises to be used for any <br />purpose other than as specified herein nor permit the same to be used for any <br />unlawful purpose. <br /> <br />8. Transfer of Lease. Lessee shall not sublease said Premises or any part <br />thereof, nor assign this Lease, or otherwise alienate its leasehold interest, <br />without in each case the written consent of Lessor first had, which consent <br />shall not be unreasonablF withheld. <br /> <br /> 9. Default Clause. If Lessee shall at any time be in default in payment of <br /> rent herein reserved, or in the performance of any of the covenants, terms, <br /> conditions or provisions of this Lease, and Lessee shall fail to remedy such <br /> default within 15 days after receipt of notice thereof from Lessor in the <br /> event the default is as to payment of rent, or within 30 days after receipt <br /> of notice thereof if the default relates to matters other than the payment <br /> of rent, or if Lessee shall be adjudged a bankrupt or shall make an assign- <br /> ment for the benefit of creditors, or if the interest of Lessee in the <br /> Premises shall be sold under execution or other legal process, Lessor may, <br /> by notice to Lessee, terminate this Lease, or, without terminating this <br /> Lease reenter the Premises by su-,~mry proceeding or otherwise and in either <br /> event may dispossess Lessee. In the event of such reentry~ Lessor may relet <br /> the premises and apply the rent therefrom first to the payment of Lessor's <br /> expenses incurred by reason of Lessee's default and the expenses of reletting <br /> and them to the payment of rent and alii other sums due from Lessee here- <br /> under, Lessee remaining liable for any deficiency. <br /> <br /> 10. Vacation of.Premises. Lessee shall deliver up and surrender to Lessor <br /> possession of ~ ~re~ upon the expiration of the Lease or its termination, <br /> in any way in as good condition and repair as the same shall be at the <br /> c~mnencement of said term (loss bY ordinary wear and decay only excepted.) <br /> <br />-3- <br /> <br />11. Termination. If at the expiration of the term of this Lease or any <br />renewal thereof Lessee continues to occupy said Premises, such action shall <br />constitute renewal of this Lease for a period of one (1) year upon the same <br />terms and conditions, except that Lessor may, at its o~tion, cancel such <br />renewal at any time dvring said year by giving to Lessee 60 days notice of <br />its Intention to cancel. <br /> <br /> <br />
