d} For the price of One Hundred and Fifteen Dollars ($115,000.00) <br /> prowided such optio~ is exercised during the period commencing <br /> on the first day of March,; 1983 and ending on the 28th day of <br /> February, I987. <br /> <br />The option herein granted shall expire on the 28th day of February, 1987. <br />In the event Lessee elects to exercise said option, Lessee shall give notice <br />thereof in writing to Lessor at Lessor's address hereinabove set forth prior <br />to the end of the respective option period hereinabove set forth. <br />The within optim~is granted upon the followin§ terms and conditions: <br />Upon the exercise of such option the parties shall deposit or cause to be <br />deposited in escrow with an escrow agent mutually agreeable to the parties <br />hereto, all sums of money, deeds and other documents necessary to c~mplete <br />the transaction in accordance with the terms and provisions hereof within <br />thirty (30) days next following the receipt by Lessor of Lessee's notice to <br />exercise this option. Lessor shall convey title to said premises to Lessee <br />or its nominee by good and sufficient Warranty Deed describing and conveying <br />said premises free and clear of all liens and encumbrances whatsoever except <br />taxes and assessments not then due and payable, restrictions, conditions, <br />reservations and easements, if any, and zoning ordinances. Rentals shall be <br />prorated as of the date said Warranty Deed is filed for record in the Office <br />of the Cuyahoga County Recorder. Lessor shall fa~n~sh a title guarantee in <br />the amount of the purchase price guaranteeing title to said premises to be free <br />and clear except as vested in said Deed. Lessor shall be charged with and <br />pay the cost of title examination and issuance of the title guarantee in the <br />amount of the purchase price, transfer taxes, one-half the escrow fee, and <br />prorations chargeable to Lessor. Lessee shall be charged with and pay the <br />cost of recording the Deed and one-half the escrow fee. <br /> <br /> 19. Entire Agreement.
