d} For the price of One Hundred and Fifteen Dollars ($115,000.00) prowided such optio~ is exercised during the period commencing on the first day of March,; 1983 and ending on the 28th day of February, I987. The option herein granted shall expire on the 28th day of February, 1987. In the event Lessee elects to exercise said option, Lessee shall give notice thereof in writing to Lessor at Lessor's address hereinabove set forth prior to the end of the respective option period hereinabove set forth. The within optim~is granted upon the followin§ terms and conditions: Upon the exercise of such option the parties shall deposit or cause to be deposited in escrow with an escrow agent mutually agreeable to the parties hereto, all sums of money, deeds and other documents necessary to c~mplete the transaction in accordance with the terms and provisions hereof within thirty (30) days next following the receipt by Lessor of Lessee's notice to exercise this option. Lessor shall convey title to said premises to Lessee or its nominee by good and sufficient Warranty Deed describing and conveying said premises free and clear of all liens and encumbrances whatsoever except taxes and assessments not then due and payable, restrictions, conditions, reservations and easements, if any, and zoning ordinances. Rentals shall be prorated as of the date said Warranty Deed is filed for record in the Office of the Cuyahoga County Recorder. Lessor shall fa~n~sh a title guarantee in the amount of the purchase price guaranteeing title to said premises to be free and clear except as vested in said Deed. Lessor shall be charged with and pay the cost of title examination and issuance of the title guarantee in the amount of the purchase price, transfer taxes, one-half the escrow fee, and prorations chargeable to Lessor. Lessee shall be charged with and pay the cost of recording the Deed and one-half the escrow fee. 19. Entire Agreement. This Lease contains the entire agreement between the parties, and any executory agreement hereafter made shall be ineffective to change, modify or discharge it in whole or in part unless such executory agreement is in writing and signed by the party against whom enforcement of the change, modification or discharge is sought.
