"Bondholder" or "holder" or "holder of Bonds" means any person who is the bearer of a coupon Bond which is not registered as to princi- pal or the principal of which is registered to bearer, or any person in whose name a registered Bond is registered, and "holder" when used with reference to a coupon means the bearer of sUch coupon. "Bond Legisl ' " atlon means this Ordinance, comprising a part of the Indenture. "Bond Reserve Requirement" or "Reserve Requirement" means an amount equal to the maximum Bond Service Charges required to be paid in any subsequent calendar year. "Bond Service Charges" means, for any applicable time period, the principal (including any Mandatory Sinking Fund Installments), interest, and redemption premium, if any, required to be paid by the Issuer on the Bonds. In determining Bond Service Charges for any period or date, Mandatory Sinking Fund Installments required to be paid during such period or on such date ~hall be included, and principal maturities for which, and to the extent, Mandatory Sinking Fund Installments were or are to be paid in a prior period or on a prior date shall be excluded. "Certificate of Award" means (i) as to the Series 1983-A Bonds, the certificate authorized by Section 7 hereof; (ii) as to the Series 1983-B Bonds, the certificate authorized by Section 12 hereof; and (iii) as to any Series of Additional Bonds, the Certificate of Award authorized to be executed with respect to such Series of Bonds by the Series Bond Legislation authorizing the issuance thereof. "Clerk" means the Clerk of the Issuer's Legislative Authority or the person acting as such pursuant to authorization by the Legisla- tive Authority. "Construction Fund" means the Construction Fund established under Section 15 hereof. "Costs of Hospital Facilities" means the costs of acquiring or constructing Hospital Facilities; costs of improving one or more Hospi- tal Facilities, including reconstructing, rehabilitating, remodeling, renovating, and enlarging; costs of equipping and furnishing Hospital Facilities; and all financing costs pertaining thereto, including, without limitation thereto, costs of engineering, architectural, and other professional services, designs, plans, specifications and surveys, and estimates of cost, costs of tests and inspections', the costs of any indemnity or surety bonds and premiums on insurance, all related direct or allocable administrative expenses pertaining thereto, fees and ex- penses of trustees, depositories, and paying agents for Bonds, costs of any municipal bond insurance policies securing Bonds, costs of issuance of Bonds, and financing charges and fees and expenses of financial advisors, attorneys, accountants, consultants and rating services in connection therewith, capitalized interest on Bonds, amounts necessary -3-
