(k) Separation of Hospital Receipts and Records. The Issuer <br />covenants that it will segregate the Hospital Receipts from all other <br />funds of the Issuer, will keep or cause to be kept proper books and <br />records in such manneer as to show the complete financial results of the <br />operation of the Hospital Facilities, the receipt and expenditure of the <br />Hospital Receipts, and the operation and maintenance expenses of the <br />Hospital Facilities, all capital expenditures for replacement or bet'ter- <br />ments to the Hospital Facilities, and the amounts deposited in the <br />Special Funds pursuant to the Bond Legislation and the Indenture, and <br />will furnish an annual audit made by the Auditor. <br /> <br /> Section 19. Indenture. In order better to secure the payment <br />of Bond Service Charges, there shall be executed, acknowledged, and <br />delivered by the Executive, the Fiscal Officer and the President of the <br />Board of Trustees of the Lakewood Hospital,.in. the name and on behalf of <br />the Issuer, an Indenture in substantially the form on file with the <br />Clerk, which is hereby approved, with such changes therein not inconsis- <br />tent with this Bond Legislation and not substantially adverse to the <br />Issuer as may be approved by the officers executing the same on behalf <br />of the Issuer. The approval of such changes by said officers, and that <br />such are not substantially adverse to the Issuer, shall be conclusively <br />evidenced by the execution of the Indenture by such officers. <br /> <br /> This Bond Legislation shall constitute a part of the Indenture <br />as therein provided and for ali purposes of said Indenture, including, <br />without limitation thereto, application 'to this Bond Legislation of the <br />provisions in the Indenture relating to amendment, modification, supple- <br />mentation and severability, and including those provisions reflecting <br />the respective public purposes for which the Series 1983-A Bonds and the <br />Series 1983-B Bonds are to be issued. <br /> <br /> Section 20. Lien of Pledge Hereunder. The Net Revenues are <br />subject to the lien of the pledge hereunder without any physical deliv- <br />ery of the Net Revenues or further act, and the lien of such pledge is <br />valid and binding against all parties having claims of any kind against <br />the Issuer (irrespective of whether such parties have notice of such <br />pledge and create a perfected security interest for all purposes of <br />Chapter 1309, Ohio Revised Code) without the necessity for separation or <br />delivery of the Net Revenues or for the filing or recording of the <br />Indenture or any other resolution or instrument by which such pledge is <br />created or any certificate, statement, or other document with respect to <br />such pledge. The pledge of the Net Revenues under the Indenture shall <br />be effective and the money therefrom and thereof may be applied to the <br />purposes for which pledged without necessity for any further act of <br />appropriation. <br /> <br /> Section 21. Open Meetin~ Determination. It is found and <br />determined that al/ formal actions of this Legislative Authority con- <br />cerning and relating to the adoption of this Bond Legislation were <br />adopted in an open meeting of this Legislative Authority, and that all <br />deliberations of this Legislative Authority and of any of its committees <br />that resulted in such formal action were in meetings open to the public, <br /> <br />-46- <br /> <br /> <br />
