XEROX COMPUTER SERVICES 5310 Beethoven Street Los Angeles, California 90066 Agreement Number AMENDMENT Xerox Corporation, acting through Xerox Computer Services, ("Xerox") agrees to amend the above numbered Software License Agreement with The City of Lakewood, Ohio ("Lakewood") 12650 Detroit Avenue Lakewood, Ohio ~q107 and Regional Income Tax Agency ("RITA") 10107 BrecksviUe Road BrecksviUe, Ohio as follows: The opening paragraph is hereby modified to recognize both the City of Lakewood, Ohio, and the Regional Income Tax Agency collectively as "Customer" except where otherwise noted in this Agreement. 2. To Article 1, add the following paragraphs: 1.2 Notwithstanding the preceding Paragraph 1.1, at any time Lakewood or R.I.T.A. provided neither is in breach of its obligations to Xerox under this agreement, upon writ-ten notification to Xerox, may cause this License to be cancelled and to be replaced by two License Agreements, both o! which will be identical in purpose and content. At the time of cancellation, the System willlbe licensed to Lakewood to run on hardware and at a site identified in writing to Xerox., A second license and copy of the System will be made available to the Regional Income Tax AgencyZat the then-applicable license charge for the System Components/Features then on license, less any payments previously made to Xerox for additional (other than Lakewood) users. In any event, providing neither Lakewood or R.I.T.A. is in breach of its obligations under this agreement after six (6) years shall have expired from the approVed date of this agreement, the charges for the second copy shall be deemed paid and Xerox shall authorize its creation. RITA's right to the second license and copy is dot transferable.* Each licensee shall then pay Xerox separately for maintenance and any other services required from Xerox at the rate~ published in the applicable Ancillary Price List. *except as prov£ded in Section See insert or Lakewood, as the case may be 1.3 Xerox agrees that either party or when ~ooth parties have license to the System, may offer services for the use by Statue,, County, or Local Government entitles, agencies, districts, or councils of government"lSrovided Xerox is paid in advance ior each additional user the price of one (1) year's worth of Xerox standard Remote Computing Services, with a minimum charge of $ 7,000.00 per user to be paid by Customer. These prices are based upon Xerox' then applicable standard volume estimators which it uses :[or its own business and prospective customers per application licensed to each user. Xerox will complete these volume estimators and provide them to Customer and Customer shall pay Xerox, in advance, therewith.
