XEROX COMPUTER SERVICES <br />5310 BeethOven Street <br />Los Angeles, California 90066 <br /> <br />Agreement Number 3440 <br /> <br />AMENDMENT <br /> <br />The Software License Payment Schedule is hereby modified to read as follows: <br /> <br />2.2 Software License Payment Schedule <br /> <br />First Payment: At execution of Agreement - t~0% <br /> <br />$ 66,730 <br /> <br />Second Payment: At delivery of documentation or <br /> 120 days later (whichever comes first) <br /> <br />$ 66,730 <br /> <br />Third and Final Payment: Upon completion of acceptance <br /> testing- 20% <br /> <br />TOTAL $166~82.5' <br /> <br />Less standard purchase credits accumulated from 3anuary, 1983, through <br />termination of General Services Agreement between Xerox and Lakewood. <br /> <br />Within thirty (30) days after delivery of the System to R.I.T.A., R.I,T.A. shall test <br />each application of the System for acceptance by R.I.T.A., using its own test data <br />and computer facilities. Tests shall be performed and shall establish that (a) each <br />Application conforms in all material respects to the program manuals and other <br />standard documentation and (b) the programs perform repetitively on a variety of <br />test data without failure. Upon completion of such tests with respect to each <br />application the aforesaid tests shall be performed as to the System as a whole to <br />determine whether the System operates with internal consistency,. When the System <br />successfully meets these acceptance tests, R.I.T.A. will notify in writing that the <br />System is accepted and~s~hall tender third and final payment as required above. If <br />the System fails to conform in any material respect to the program manuals and <br />other standard documentation or fails to operate with internal consistency, R.I.T.A. <br />shall forthwith notify Xerox in writing of such failure, and Xerox shall as promptly <br />as possible correct or modify the System to meet such specifications and R.I.T.A. <br />shall thereafter have an additional fifteen (15) days to test and accept the System. <br />If R.I.T.A. has not notified Xerox of R.I.T.A.'s acceptance or rejection of the <br />System within thirty (30) days of the original delivery date, the System shall deem <br />to have been accepted and third and final payment shall be due as provided herein. <br /> * Xerox and Lakewood <br />** Lakewood <br /> <br /> <br />
