AGREEMENT <br /> <br /> The City of Lakewood, Ohio (hereinafter referred to as <br />Lakewood), and the Regional Income Tax Agency (hereinafter referred to <br />as KITA), being named as copurchasers from Xerox Corporation, acting <br />through Xerox Computer Services ("XeroX"), of a license for the use of <br />Xerox's Xerox Business Management System computer software (hereinafter <br />referred to as the System), as set forth in the Software License Agree- <br /> <br />merit dated , 1983 (the "Xerox Agreement"), do hereby enter <br /> <br />into the following agreement this day of ., 1983. <br /> <br />This Agreement defines the terms of an agreement solely for the purchase <br />and. implementation of, the System, and nothing contained herein shall be <br />construed as creating a partnership or any other contractual relation- <br />ship between Lakewood and RITA for any ottler purpose whatsoever. <br /> <br /> This Agreement is properly authorized by City of Lakewood <br /> ordinance No. and by RITA Board of Trustees Resolution No. <br /> <br /> I. Lakewood and RITA each agrees to pay the charges spec- <br /> ified in Section 2 hereof for the acquisition from Xerox of a license to <br /> use the System (the "System License"). RITA agrees to install the <br /> System on the computer hardware system described in Section 3 hereof and <br /> to process data provided by Lakewood on such computer hardware using the <br /> System as described in Section 4 hereof at no charge to Lakewood through <br /> December 31, 1989, unless this Agreement is earlier terminated as herein <br /> provided· <br /> <br /> <br />
