Should Lakewood. fail to pay any such.charges as and' when due, Lakewood will indemnify and hold RITA harmless against any claims or charges made by Xerox against RITA for such charges. B. RITA agrees to pay to Xerox pursuant to the Xerox Agreement, if RITA should use these services, on behalf of Lakewood, the following charges: Education Business Applications Operator Training Business Applications Functional Training Business Applications Coordinator Training Production Coordinator Course (2 weeks) (lst 2 attendees - no charge; $2,000/ attendee/ class thereafter) System Coordinator Course (2 weeks) (lst 2 attendees - no charge; $2,000/ attendee/class thereafter) Maintenance and Support Charges (annual) Quality Customer Service (annual) (optional) $7,800(est.) 2,600(est.) 2,600(est.) Should RITA fail to pay any such charges as and when due, RITA will indemnify and hold Lakewood harmless against any claims or charges made by Xerox against Lakewood for such charges. 3. RITA will provide the computer hardware system described in Attachment A to the Xerox Agreement or a substitute hardware system acceptable Co Xerox in accordance with the Xerox Agreement. RITA repre- sents that its computer hardware system has sufficient memory, commu- nication capability and storage capacity to support the System for the duration of this Agreement, and that it will at all times maintain computer hardware which will be compatible with the System and the operating software system used to run the System. Nothing herein shall be construed to limit RITA's right to make changes, additions or dele- :ions :o or from its current hardware or to allow Lakewood any control -3-
