· XEROX COMPUTER SERVICES <br /> 5310 Beethoven Street <br /> Los Angeles, California 90066 <br /> <br />Agreement Number <br /> <br />XEROX BUSINESS MANAGEMENT SYSTEM <br /> <br />3440 <br /> <br />SOFTWARE LICENSE AGREEMENT <br /> <br />Xerox Corporation, acting through Xerox Computer Services, (hereinalter referred to as <br />"Xerox") agrees to provide to: <br /> <br /> The City of Lakewood, Ohio ('Lakewood") <br /> 12650 Detroit Avenue <br /> Lakewood, Okio 4t~107 <br /> and <br /> Regional Income Tax Agency ("PJTA" <br /> 10107 Brecksville Road <br /> Brecksville, Ohio 441t~1 <br /> <br />and Customer agrees to purchase from Xerox a license for the use of Xerox's proprietary <br />Xerox Business Management System computer .software ("System") described herein, on <br />the terms and conditions set forth below. <br /> <br />TERMS AND CONDITIONS <br /> <br />I. LICENSE' <br /> <br /> 1.1 Xerox hereby grants and the Customer accepts a non-transferable and non- <br />exclusive license to use the System in the Customer's own business, but not in the business <br />of others, and only on central computer system in the location listed in Attachment A, <br />incorporated by reference herein. If the System is to be used by more than one operating <br />unit either at the central computer system location or on another computer at a remote <br />location, Customer agrees to enter into an additional License Agreement for the <br />additional use or the additional copies of the System. <br /> <br />2. TERM <br /> <br /> 2.1 The license granted hereunder is effective upon execution of this Agreement, <br />and shall remain in effect indefinitely unless sooner terminated pursuant to this <br />Agreement. <br /> <br /> 2.2 Customer shall pay Xerox for the System and any related services or materials <br />in accordance with the provisions of the Schedule o! Services and Charges (Attachment B) <br />for the system components specifically included in this agreement as listed therein and <br />hereafter included in the definition of "System". <br /> <br />PROPRIETARY INFORMATION <br /> <br /> 3.1 The System is acknowledged by Customer to be composed of confidential data <br />and know-how which are trade secrets of, as well as the sole and exclusive property of <br />Xerox or its Licensor. Customer will not during the term of this Agreement or <br />thereafter, without the prior written consent of Xerox either (a) copy or duplicate or <br />permit anyone else to copy or duplicate any physical embodiment of the System: or (b) <br />create or recreate or attempt to create or recreate, or permit anyone else to create or <br />recreate or attempt to create or recreate, the source programs, object programs or any <br />other aspect of the System or any part thereof. <br /> <br />lic. agree, rev. 9/83 -vers 6.1 <br /> <br /> <br />
