For the <br />purposes of this paragraph, "aHiliate" is defined as a company, the controlling interest in <br />which is owned by Xerox Corporation. <br /> <br /> (c) Subject to the limitations heretofore expressed, this agreement shall <br />inure to the benefit of arid be binding upon the parties hereto, their heirs, executors, <br />administrators, successors and assign. <br /> <br /> 8.2 GOVERNING LAW. The parties hereby agree that this Agreement has been <br />executed and delivered in the State of California and shall be construed, enforced and <br />§overned by the laws thereof. <br /> <br /> 8.3 5EVERABiLITY. In the event that any provision o! this Agreement shall be <br />held invalid or unenforceable, such provision shall be s~verable :[rom, and such invalidity <br />or unenforceability shall not be construed to have any effect on the remaining provisions <br />o! this Agreement. <br /> <br /> g.t~ CAPTIONS. The title or headings of the various paragraphs hereof are <br />intended solely for convenience of reference and are not intended and shall not be deemed <br />for any purpose whatever to modify or explain or place any constriction upon any of the <br />provisions of this Agreement. <br /> <br /> B.5 AMENDMENT OR MODIFICATION. The parties hereto may amend or modify <br />this Agreement only by a written instrument executed only by.authorized representatives <br />of Xerox and Customer. <br /> <br /> 8.6 NUMBER. Throughout this Agreement, wherever the context so requires, the <br />singular shall include the plural, and the masculine gender shall include the feminine and <br />neuter genders, and vice versa. <br /> <br /> 8.7 NOTICES.
