PRELIMINARY COOPERATION AGREEMENT <br />BETWEEN THE CITY OF ~AKEWOOD, OHIO <br /> <br />AND THE AUSTIN E. KNOW]=TON COMPANY <br /> <br /> Whereas, the Council of the Cit~ of Lakewood, Ohio has <br />authorized the Mayor o£ such City to enter into this Preliminary <br />A~reement with the Austin F. Enowlton Company with respect to the <br />City's planning powers for the redevelopment .of the portion of <br />the C£ty; <br /> <br /> NOW THEREFORE, in consideration' of the ~utual promises <br />herein contained, it is agreed as follows: <br /> <br />~ection 1. Definitions. <br /> <br /> As used in this Preliminary' A~reement (hereinafter <br />defEned), the following words and phrases shall have the meanin$ <br />as hereinafter stated: <br /> <br /> (a). "Bond Counsel" shall mean Calfee, Halter & <br />Griswold or such other firm of attorneys nationally recog- <br />nized as bond counsel as shall be selected or approved by the <br />Mayor. <br /> <br /> (b). "Charter# shall mean the Charter of the City of <br />Lakewood and amendments thereto adopted pursuant to Article <br />XVIII, Ohio Constitution. <br /> <br />(c). "Citye ~hall mean the City of Lakewood, Ohio. <br /> <br /> (d). "Codified Ordinances" shall mean the Codified <br />Ocdinances of the City of Lakewood, Chic. <br /> <br /> (e). ~Council" shall mean the Council of the City of <br />Lakewood, <br /> <br /> (f). "Developer" shall mean the Austin E. Knowlton <br />Company of Col~bus, Ohio. <br /> <br /> (g). 'Development Agreement" shall mean the contract <br />to be executed between the City and the Developer with re- <br />spect to the redevelopment off the Project Area. <br /> <br /> (h). -~irector of Developmenta shall mean the D/rector <br />of Economic and Community Development of the City of Lake- <br />wood, Ohio. <br /> <br />EXHIBIT "A" <br /> <br /> <br />
